"TAIPING-KANGXUN360"HEALTHMANAGEMENTSERVICECOOPERATIONAGREEMENTTheBoardispleasedtoannouncethaton18March2014,theCompanyenteredintoahealthmanagementservicecooperationagreementwithTPLinrelationto"Taiping-Kangxun360"(the"Agreement"),wherebybothpartiesagreetolaunch"Taiping-Kangxun360"(tentativename)byutilizingtheGroup's"Kangxun360"cloudhealthmanagementplatforminviewofTPL'suniqueneedforhealthmanagementservices.
TheGroupwillprovideTPL'sinsurancecustomerswiththelicensetouse"Taiping-Kangxun360"healthmanagementplatform,andprovideallrelatedtechnicalsupport.
Equipment(suchasvitalsigndatacollectors)tobeusedinconjunctionwith"Taiping-Kangxun360"healthmanagementplatformwillbeprovidedbyTPL.
TPLmaypurchasesuchequipmenteitherfromtheCompanyorfromothersources.
Inaddition,TPLwillprovideitsinsurancecustomerswithcustomerservicerelatedto"Taiping-Kangxun360"healthmanagementplatformthroughitsinsurancesalesstafforagentteams,andtheGroupwillproviderelatedtechnicalsupport.
"Taiping-Kangxun360"healthmanagementplatformwillcoverthefollowingservices:1)collectionofhealthdata,establishmentofhealtharchivesanddevelopmentofhealthplans;2)real-timehealthalert;3)regularhealthassessment;4)personalizedhealthreport;5)healthknowledge;and6)healthadvisoryservice.
Ofthese,healthadvisoryserviceispaidservice,whileotherservicesarefreeofcharge.
–2–IftheservicemodelandqualitymeetTPL'srequirements,TPLwillprovidehealthmanagementservicestoatotalof10millioninsurancecustomersinphasesthrough"Taiping-Kangxun360"healthmanagementplatformby31December2014,withatleast5%(approximately500,000)ofthesecustomersusingthepaidservice.
Inaddition,bothpartiesagreetofurtherexploredetailedimplementplansforthesharingofcustomerresources.
Subjecttoregulatoryrequirements,bothpartieswillpromotethesharingoftheircustomermanagementsystems,andcarryoutcustomerdatabasemanagementandmarketingwhereappropriate.
Inordertofurtherconsolidatethelong-termpartnershipbetweenbothparties,bothpartiesagreetoexplorethepossibilityforTPLtobecomeastrategicshareholderoftheCompanywhenappropriateopportunitiesarise,aswellasfurthercooperationwiththeCompanyininvestmentprojectsinthehealthmanagementandhealthpreservationindustry.
