commaychargeandcollectalatechargeandadministrativefeeonanyunpaidamountdueequaltooneandone-halfpercent(1and1/2%)ofsuchamountforeachmonthorpartialmonth.

Renewalandterminationofservice.
Servicewillcontinue,andwillautomaticallyrenewona12-monthormonthlybasis,asapplicable,untilterminatedasprovidedbelow.

commay,initssolediscretion,electtoterminateserviceuponandafter(a)Customer'sfailuretomaketimelypaymentinfullofanycharges,(b)anybreachornoncompliancebyCustomeroranyofitsUsers(asdefinedbelow)ofanyoftheprovisionsoftheseTermsofService(includinganyofthePolicies);(c)Customer'sfailuretocontinuetofunctionasagoingconcernortooperateintheordinarycourseofbusiness,orifCustomercommitsanactofbankruptcywithinthemeaningofthefederalbankruptcylaws,orifbankruptcy,receivership,insolvency,reorganization,dissolution,liquidationorothersimilarproceedingswillbeinstitutedbyoragainstCustomer;and(d)Customer'soranyofitsUsers'useoftheserviceinanymannerthat,inAccessHosting.

AccessHostingmayimposesuchrequirementsand/orfeesforreinstatementorreconnectionofserviceasAccessHosting.

CustomerresponsibilitiesCustomerwillusetheservicessolelyforCustomer'sowninternalbusinesspurposes,whichmayincludetheuseoftheservicebyCustomer'semployees,representatives,consultants,contractorsoragentswhoareauthorizedtousetheServiceandhavebeensupplieduseridentificationsandpasswordsbyCustomer(orbyAccessHosting.
comatCustomer'srequest)("Users")(providedthat,nopersonorentityotherthanCustomerwillhaverightsundertheTermsofServiceorrightstotheservicefromAccessHosting.

Customerwilloperateitsbusinessanduse,andwillensurethatitsUsersuse,theservicesandAccessHostingtechnologyatalltimesincompliancewith(i)theTermsofServiceandPolicies(andCustomerwillpasssuchPoliciestoitsUsersinitscontractswiththem),and(ii)allapplicablelocal,state,federalandinternationallaws,regulations,andconventions,including,withoutlimitation,thoserelatedtodataprivacy,internationalcommunications,licensingrequirementsandtheimportation/exportationoftechnicalorpersonaldata(AccessHosting.

Customerwillnot,andwillensurethatitsUserswillnot(andwillnotpermitorassistanyotherpersonorentityto)(i)license,sublicense,sell,resell,transfer,assign,distributeorotherwisemakeavailabletoanythirdpartytheserviceortheaudioorvisualinformation,documents,software,productsandservicescontainedormadeavailabletoCustomerinthecourseofusingtheservice("Content")(andCustomer,foritselfanditsUsers,grantstoAccessHosting.
comthenon-exclusive,worldwide,righttouse,copy,store,transmitanddisplayCustomerDatatotheextentnecessarytoprovidetheservicetoCustomerand/oritsUsers),(ii)modify,decompile,reverseengineerormakederivativeworksbaseduponAccessHosting.
comtechnologyortheContent,(iii)commerciallyexploittheserviceortheContentinanywayotherthanasexpresslypermittedundertheseTermsofService,(iv)createInternet"links"totheserviceor"frame"or"mirror"anyContentcontainedin,oraccessiblefrom,theserviceonanyotherserver,wirelessorInternet-baseddevice,(v)impersonateanotherAccessHosting.
comuserorprovidefalseinformationtogainaccesstoorusetheService,(vi)alter,removeorobscure,andwillpreventthirdpartiesfromaltering,removingorobscuring,anytrademark,copyrightorotherproprietaryorrestrictedrightsnotices,oranyassociateddisclaimers,thatmayappearinorthroughuseoftheServiceorAccessHosting.
comtechnology,or(vii)useanyservices(orengageinanyactivityonorthroughtheAccessHosting.

comanditsdirectors,officersandemployeesfromandagainstanyandalllosses,claims,obligations,liabilities,actions,suits,proceedings,demands,judgments,payments,costsandexpenses(includingcourtcosts,amountspaidinsettlement,judgments,andreasonableattorneyfeesandotherexpenses),anddamagesofanykind,natureordescriptionwhatsoever("Damages")arisingoutof(i)anymisrepresentation,breachofcovenantorwarrantyorotherbreachorviolationoftheseTermsofServiceoranyofthePoliciesbyCustomerand/oranyofitsUsersorthirdpartiesthroughtheuseofCustomerpasswords,(ii)useoftheservicesbyCustomerand/oranyofitsUsersorsuchthirdparties,and(iii)anyotheractoromissionofCustomer,itsaffiliatesoranyoftheirowners,officers,representatives,employeesorUsersorsuchthirdparties(including,withoutlimitation,DamagesrelatingtoCustomerData,infringementandthirdpartyclaims,Customerprovideditemsandpersonalinjuryordamagetoproperty).
