GeneralAustrianForwarders'TermsandConditionsI.
GeneralSection1Thefreightforwarder("forwarder")willexecutehiscommercialactivitieswiththeduecareanddiligenceofaprudentbusinessman,safeguardingtheinterestsoftheprincipal.
Section2(a)TheGeneralAustrianForwarders'TermsandConditionsapplytoallactivitiesperformedbytheforwarderinthecourseofcommercialtransactionswithbusinessmenandcompaniesunderSection1Para.
2oftheConsumerProtectionAct,irrespectiveofwhetheritconcernsforwarding,freight,warehousing,commissionoranyotherbusinessrelatedtoorconnectedwiththeforwardingindustry.
(b)TheGeneralAustrianForwarders'TermsandConditionsdonotapply(1)iftheforwarderisactingsolelyasvicariousagentofatransportcompanyinaccordancewithspecialconditions,orassurfacetransportentrepreneuronthebasisofasurfacetransportcontractoftheAustrianFederalRailways;(2)tothetransportationofremovalgoodsusingaremovalvan(trailer,swap-body,container,lift-van),aswellaswarehousingofremovalgoods;transportationofremovalgoodsforprincipalsinthesenseofPara.
(a)above,eitherdomesticortoandfromforeigncountries,issubjecttotheGeneralAustrianForwarders'TermsandConditions,providedthattheforwardingactivitiesarecoveredunderSection407oftheAustrianCommercialCode.
(c)TheGeneralAustrianForwarders'TermsandConditionstakeprecedenceoverlocalandmunicipalcommercialpractice.
MandatoryprovisionslimittheeffectivescopeoftheGeneralAustrianForwarders'TermsandConditionsaccordingly.
Inthecaseofoceanandinlandwaterwaytransportation,deviatingarrangementsmaybeconcludedincompliancewithspecialshippingtermsandconditionsoftheforwarder.
(d)Furthermore,thetermsandconditionsstipulatedbythirdpartiesinvolvedintheexecutionapply.
Section3Therightsoftheprincipalmayonlybeassignedtothirdparties,andclaimsagainsttheforwarderinthenameorfortheaccountofthirdparties(cf.
Section67oftheInsuranceContractAct)mayonlybeassertedtotheextentthatsuchrightsorclaimsagainsttheforwarderarebasedonthesetermsandconditions.
Section4Allquotationsmadebytheforwarderareonlyvalidsubjecttopromptacceptanceforimmediateexecutionoftheorderconcerned,unlessstipulatedotherwiseinthequotation,andonlytotheextentthatthequotationisreferencedintheconfirmationoftheorder.
II.
UnacceptableGoodsSection5(a)Unlessexpresslyagreeduponinwriting,allgoodsthatcouldbedetrimentaltoindividuals,animals,goodsorotherobjects,orthatareliabletorapidspoilingordecay,willnotbeaccepted.
(b)Ifthesegoodsarehandedtotheforwarderwithoutspecialnotificationoridentification,theprincipalwillbeliableforanyresultingdamages,evenifhewasnotresponsibleforthedamage.
(c)Totheextentjustifiedbysuchcircumstances,theforwardermaysellthegoodseitherpubliclyorprivately,withoutresorttolegalprocess.
Ifpossible,theprincipalshouldbenotifiedofanysuchintendedsale.
Incasesofimminentdanger,theforwardermayalsodestroysuchgoods,evenifpriornotificationtotheprincipalhasnotbeenmade.
III.
Orders,Communication,Instructionsandforwarder'sDiscretionSection6Theforwarderassumesnoliabilityforthecompliancewithordersplacedeitherverbally,bytelephoneortelegraph,orbyanyotherformofnotification,whichhavenotbeenconfirmedinwritingbyeitherparty,includingcompliancewithanycommunicationmadetodriversoraccompanyingpersonnel.
Allgoodsanddocumentsofanytypewhatsoeverwillbereleasedtotheforwarder'semployeesatthesoleriskoftheprincipal,unlessexpresslyorimplicitlyotherwiseagreedinadvancewiththeforwarderoroneofhisauthorizedemployees.
Section7(a)Allordersplacedwiththeforwardermustcontainmarking,number,typeandcontentoftheconsignments,aswellasanyotherinformationnecessaryfortheproperexecutionoftheorders.
Theprincipalwillbeliableforanyconsequencesofincorrectorincompleteinformation(evenifhewasnotresponsiblefortherelease),unlesstheforwarderhadpriorknowledgeoftheincorrectnessorincompletenessoftheinformation.
Theforwarderisonlybeobligedtoreviewandsupplementsuchinformationwithoutbeingrequestedtodosoifthisaccordswithgeneralbusinesspractice.
Furthermore,theprincipalwillbeliableforanydamagecausedbytheforwarderorthirdpartiesduetotheabsenceofweightspecificationsonfreightwithaminimumgrossweightof1,000kg.
(b)Theforwarderisobligedtoweighthegoodsonlyuponspecialwrittenrequesttodoso.
(c)Areceiptissuedbytheforwarderwill,incaseofdoubt,notincludeaguaranteeastothetype,content,value,weightorpackagingofthegoods.
(d)Thegoodsreceiptwillnotincludeconfirmationofquantity,ifthisisnotusualintheforwardingindustry(suchasbulkgoods,lorry-loads,andthelike).
Section8Shouldmanufacturersordealersofspecificproductsreleaseaconsignmentwithoutstatementofcontentstotheforwarderfordispatch,itwillbeassumedincaseofdoubtthattheconsignmentcontainstheproductsofthedispatcher.
ThetermsandconditionssetoutinSection7remainunaffected.
Section9Theprincipalwillnotifytheforwarderwithoutdelayofhisaddressandanychangeofaddress.
Otherwise,thelastaddressknowntotheforwarderwillapply.
Section10(a)Unlessspecificallyrequestedinwriting,theforwarderisnotobligedtosendnotificationsbyregisteredmail,ortoinsuredocumentsofanytypewhatsoeverpriortodispatch.
(b)Theforwarderisnotobligedtoverifytheauthenticityofeitherthesignaturesonanycommunicationorotherdocumentsconcerningthegoods,ortheauthorityofthesigningofficer,unlessotherwiseagreeduponwiththeprincipalinwriting,orunlessthelackofauthenticityorauthorizationisobvious.
(c)Theforwarderisentitled,butnotobliged,toconsideranotification(advice)sentbyhimtobesufficientevidenceofdispatch.
Heisentitled,butnotobliged,toverifytheauthorizationofanypartypresentingdocumentstohim.
Section11(a)Anyinstructionsmadewithrespecttothegoodswillbedecisivefortheforwarderpendingtheprincipal'srevocationofit.
(b)Aninstructiontoholdgoodsatthedisposalofthirdpartiescannotberevokedoncetheforwarderhasreceivedtheseinstructions.
Section12Aninstructionbytheprincipaltocarryoutanorderonaccountofathirdpartywillnotaffecttheprincipal'sobligationtowardstheforwarder.
Section13Incaseofinsufficientorimpracticalinstructions,theforwarderisentitledtoactathisowndiscretionintheinterestoftheprincipal,andinparticulartochoosethetype,routeormeansoftransportation.
Section14Theforwardermaydispatchthegoodstogetherwiththoseofotherconsignorsinconsolidatedshipmentsoronageneralbilloflading,unlesshehasbeenexpresslyorderedinwritingtoproceedotherwise.
Theacceptanceofapackagecargobillofladingwillnotbedeemedtobeacontraryorder.
Section15Iftheforwarderacceptsthegoodstogetherwithabillofladingoranyotherfreightdocument(waybill/consignmentnote)giventohimbytheprincipal,theforwarderisentitledtoconveythegoodswithanewbillofladingbearinghistradenameandthenameoftheprincipal,unlessthelatterhasstipulatedotherwise.
IV.
Inspection,MaintenanceandPackingofGoodsSection16(a)Intheabsenceofawrittenagreement,theforwarderisonlybeobligedtoinspect,maintainandrectifyanydamagetothegoodsandtheirpackagingwithinthescopeofgeneralbusinesspractices.
Section388Para.
1oftheAustrianCommercialCoderemainsunaffected.
(b)Intheabsenceofinstructionstothecontrary,theforwarderisentitledtomakealldeclarationsrequiredbytheAustrianFederalRailwaysconcerninglackingordeficientpackaging.
V.
TimePeriodsandDeadlinesSection17Noguaranteewillbegrantedforloadingtimesoraspecificsequenceofgoodshandlingtobetransportedinthesamemannerunlessspecificallyagreed.
Intheabsenceofsuchanagreement,goodsmarkedastradeorfairgoodswillnotreceivepreferentialhandling.
VI.
ForceMajeureSection18Circumstances(includingstrikesandlock-outs)forwhichtheforwarderisnotresponsible,butwhichpreventhiminwholeorinpartfromfulfillinghisobligations,willreleasehimfromhisobligationsinconnectionwiththeordersaffectedbysuchcircumstances,aslongassuchcircumstancescontinue.
Insuchcasestheforwarderwillbeentitledbutnotobliged(evenifafixeddateforacceptanceofthegoodshasbeenagreed)towithdrawfromthecontract,eveniftheorderhasalreadybeenpartiallycarriedout.
Insuchcasestheprincipalisentitledtothesamerights,providedthathecannotbereasonablyexpectedtoexecutethecontract.
Shouldtheforwarderortheprincipalwithdrawfromthecontractinaccordancewiththeprovisionssetoutabove,theforwardermustberecompensedforallresultingcosts.
Section19Withinthescopeofhisdutytobediligent,theforwardermustcheckwhetherlegalorofficialimpedimentsexistconcerningforwarding,andmustinformtheprincipalaccordingly.
VII.
Forwarder'sServices,RemunerationandExpensesSection20Offersbytheforwarderandagreementswithhimregardingpriceandservicesalwaysrefertohisownservicesorthoseofthirdparties,andtogoodsofnormalsize,weightandcharacteristics.
Thefollowingpresumptionsaremade:Normalunfetteredtransport,unimpededaccessandthepossibilityofimmediateon-shipmentFurthermoreitisassumedthatfreightrates,exchangeratesandtariffsuponwhichthequotationwasbasedremainvalid.
Theforwardermaychargetheusualsupplementsandsurcharges,providedthathehasdrawntheprincipal'sattentiontothem.
Thenote"plustheusualancillarycharges"issufficientforthispurpose.
Section21Shouldanorderbewithdrawn,theforwarderisentitledathisowndiscretiontodemandeitherpaymentoftheagreedremuneration(minusexpendituresnotincurred),orofareasonablecommissionfee.
Section22Shouldaconsigneerefuseacceptanceofaconsignmentdispatchedtohim,theforwarderisentitledtoreasonableremunerationforthereturntransportofsuchaconsignment.
Shouldtheforwarderincurexpensesduetodelayedacceptanceofdelivery,suchexpenseswillbebornebytheprincipal.
Section23ThecommissionwillalsobecollectedifaC.

orothercollectionorderhasbeenwithdrawnretroactively,orifpaymentforanorderhasnotbeenreceived.
Section24Iftheforwarderhasarrangedfortheshipmentofgoodstoaforeigncountryuptotherecipient'sdooratafixedpercentageoftheinvoicevalue(includingcustomscharges),theprincipalisobligedtodeclarethetotalinvoicevalueirrespectiveofanycashdiscountsgranted(includingcustoms,freightandpackingcharges).
Section25.
(a)Theinstructionforshipmenttoadestinationinanothercountryincludesinstructionsforcustomsclearance,ifthisisnecessaryforarrangingthetransporttotheplaceofdestination.
(b)Theforwarderisentitledtoanextrafeeforcustomsclearance,overandabovetheactualcostsincurred.
(c)Theinstructiontoforwardbondedgoodsortodeliverthemfreehouse,authorizestheforwarderatthesametimetoeffectcustomsclearanceathisowndiscretion(Section13)andtoadvancetheapplicablecustomsandexcisedutiesandfees.
(d)Shouldtheprincipalgivetheforwarderinstructionsconcerningthehandlingofcustomsformalities,thesemustbestrictlycompliedwith.
Shouldthehandlingofcustomsformalitiesaccordingtotheprincipal'sinstructionsnotbepossible,theforwardermustinformhimaccordinglywithoutdelay.
Section26Theordertoreceiveincominggoodsauthorizes(butdoesnotoblige)theforwardertopre-payallchargesimposedonthegoodsconcerningfreight,collectionfees,customsdutiesandexpensesincurred.
Section27TheforwarderisentitledathisowndiscretiontodemandpaymentfromforeignconsigneesandprincipalseitherinthecurrencyoftheircountryorthatofAustria,underobservanceofexistingforeigncurrencyregulations.
Section28Iftheforwarderowesforeigncurrencyamounts,orifheadvancessumsinforeigncurrencies,hecandemand(unlessstipulatedotherwisebyprovisionsunderpubliclaw)athisdiscretioneitherpaymentinforeignorAustriancurrency.
IfhedemandspaymentinAustriancurrency,thecurrentexchangeapplicableonthedaytheorderwascommissionedwillbeused,unlesshecanprovetohavepaidahigherrateofexchangerate.
Section29Alltheforwarder'sinvoicesmustbepaidpromptly.
Paymentswillbedeemedinarrearsbynolaterthanaperiodoffivedaysfollowingtheirduedate,withnoremindersorotherrequirements(unlessdelayinpaymentaccordingtolawhasalreadyoccurredatanearlierdate).
Incaseofdefaulttheforwarderisbeentitledtochargelocalinterestandexpenses.
Anyfurtherclaimsunderlawremainunaffected.
Section30(a)Attherequestoftheforwarder,theprincipalwillimmediatelyindemnifyhimagainstanyclaimsconcerningfreight,contributionsandsettlementsofaverage,customsduties,taxesandotherleviesmadeagainsttheforwarder,especiallyinhiscapacityofauthorizedagentorownerofthird-partygoods.
Otherwisetheforwarderisentitledtotakeallmeasureshedeemsappropriateforhissecurityorindemnification,evenincluding(ifjustifiedbythefactsandcircumstances)thedestructionofthegoodsthemselves.
(b)Theprincipalmustinformtheforwarderinanappropriatemanneraboutallpubliclawobligationsarisingfromthepossessionofthegoods.

Section31Seizureofgoodsoranyotherlegalactiontakenbypublicauthoritiesdoesnotaffecttheforwarder'srightsconcerningtheprincipal.
Theprincipalremainstheforwarder'scontractualpartnerandisliabletotheforwarderforanyresultingconsequences,evenifhewasnotresponsibleforthem.
AnyclaimsoftheforwarderconcerningtheStateoranyotherthirdpartywhatsoeverremainunaffected.
Section32Claimsarisingoutoftheforwardingcontractandotherrelatedclaimsmayonlybesetoffagainstcounterclaims,iftheseareundisputed.
VIII.
DeliverySection33(a)Deliveryofgoodswithdischargingeffecttakesplacewhenthegoodsarehandedovertoanyadultpersonbelongingtoandpresentatthebusinessorhouseholdpremisesoftherecipient.
(b)Intheabsenceofanagreement,theforwarderwillplacethegoodsinorontheconveyance(e.
g.
truck,loadingramp)infrontofor,ifpossible,ontheconsignee'spropertyforthelatter'sacceptance.
(c)Theconsigneemayrequestthatthegoodsareunloadedinacourtyard,ontoramps,intorooms,ontoshelvesandthelikeathisownriskandexpense.
Thisdoesnotapplyforgoodsweighingmorethan50kgapiece,orforgoodswhich,duetotheirbulk,cannotbecarriedbyonepersonalone.
Section34(a)Uponacceptanceofthegoods,theconsigneeisobligedtoimmediatelypayallcostsconcerningtothegoods,includingC.

Shouldpaymentnotbeeffected,thedriverandaccompanyingpersonnelareentitledtore-appropriatethegoods.

Assertionofcounterclaims,rightsofretentionordispositionofthegoodsarenotallowed.
IX.
InsuranceofGoods(Transportation,FireInsurance,etc.
)Section35(a)Theforwarderisnotobligedtoinsurethegoodsunlessanexpresswrittenorder(includingthevaluetobeinsuredandriskstobecovered)hasbeenconcluded.
Incaseofnotunclearorunfeasibleinsurancecover,theforwarderisentitledtodeterminethetypeandscopeofsuchinsuranceathisowndiscretion.
Insurancepolicieswillnotenterintoforceuntiltheforwarder,intheordinarycourseofbusiness,hasbeenabletotakeoutsuchpolicies.
(b)Theforwarderisnotentitledtoconsiderthemerestatementofvalueasanordertotakeoutaninsurancepolicy.
(c)Theacceptanceofaninsurancepolicycertificatebytheforwarderdoesnotmeanthatheassumestheobligationsconcerningtheinsuredparty.
However,theforwardermusttakeallreasonablemeasurestoensurethemaintenanceandsupportofallinsuranceclaims.
Section36Intheabsenceofawrittenagreementtothecontrary,theforwarderisonlyobligedtohaveinsurancecoverageinaccordancewiththeusualtermsandconditionsrelevanttohisplaceofperformance,butnotincludingbreakagerisk.
Theforwarderwillalwaysbeconsideredtohavefulfilledhismandatoryobligationtotakeoutinsurance,ifcoverageunderanopen-cargopolicyhasbeenprovided.
Section37(a)Shouldcoveragebeprovidedunderaninsurancepolicy,theprincipalisonlyentitledtosuchcompensationastheforwarderhasreceivedfromtheinsurersubjecttothetermsandconditionsofsuchapolicy.
(b)Theforwarderhasfulfilledhisobligationsuponassigninghisclaimsagainsttheinsurertotheprincipalatthelatter'srequest.
Theforwarderisonlyobligedtopursueclaimsonthebasisofspecialwrittenagreementsandattheprincipal'sriskandexpense.
(c)Theforwarderisnotliablefordamagescoveredunderaninsurancepolicyconcludedbyhiminthenameoftheprincipal.
(d)Shouldtheprincipaltakeouttheinsurancehimself,anyclaimsagainsttheforwarderfordamagesconcerningtheriskscoveredundersuchinsurancewillbeexcluded(i.
e.
theycannotbeassignedtotheinsurer).
Section38Theforwarderisentitledtospecialremunerationforobtaininginsurance,collectingdamages,compensationandothereffortsinvolvedinthehandlingofinsurancecasesandseadamage.
X.
Forwarder'sRiskandCartage(Haulage)InsurancePoliciesSection39(a)Theforwarderwillconclude,unlessexpresslyforbiddenbytheprincipalinwriting,apolicywiththeinsurerofhischoiceandattheprincipal'sexpense,coveringalldamage,whichcouldbecausedbytheprincipalinthecourseoftheorder'sexecutionbytheforwarder.
SuchaninsurancepolicymustatleastmeettherequirementsoftheForwarder'sRiskandCartageInsurancePolicy("Speditions-undRollfuhrversicherungsschein","SVS/RVS"),particularlyconcerningthescopeofthepolicy'scoverage.
Theforwarderwillmakearecordofpremiumspaidforeachindividualtransportagreementundereveryorder,andremittheminfulltotheinsurerconcernedintheformofexpendituresincurredbytheprincipalexclusivelyforpaymentoftheforwardinginsurance.
Theforwarderundertakestoreporttotheprincipal,atthelatter'srequest,thenameofthecompanyfromwhomhehastakenouttheforwardinginsurance.
(b)TotheextentprovidedforintheForwarder'sRiskInsurancePolicy("Speditionsversicherungsschein","SVS"),alldamage,whichcouldbecausedbythosepersonsentitledtoclaimcoverageatthetimewhentheeventcausingthedamageoccurred,willalsobeinsured.
(c)Itismoststronglyemphasizedthat,accordingtoSection5Para.
1oftheForwarder'sRiskInsurancePolicy,alldamagecoveredbytransportorwarehousinginsurance,orotherwiseusuallycoveredundersuchinsurance,isexcludedfromthescopeoftheforwarder'sinsurance.
Ontheotherhand,theprincipalwillbeinsuredagainstso-calledcartagedamageinaccordancewiththeCartageInsurancePolicyunlesshehasexplicitlyrefusedsuchadditionalinsuranceinwriting.
(d)Iftheprincipalprovidesforwardinginsurancehimself,anyclaimsfordamagesagainsttheforwarderconcerningriskscoveredbysuchaninsurancepolicywillbeexcludedandmaynottransferredtotheforwarder'sinsurer.
Section40Theprincipal,aswellasallthosepersonsinwhoseinterestorforwhoseaccountheacts,willbesubjecttoalltermsandconditionsoftheForwarder'sRiskandCartageInsurancePolicies.
Inparticular,theprincipalmustensurethatalldamageisreportedpromptly(Section10oftheForwarder'sRiskPolicy).
Section41(a)IftheforwarderhasprovidedcoverageundertheForwarder'sRiskPolicyincompliancewithanexplicitorassumedorder(Section39),hewillbereleasedfromliabilityforanydamagecoveredundersuchapolicy.
Thisalsoappliesinparticulariftheinsuredsumfallsshortoftheactualvalueordamageclaimduetolackingorinsufficientstatementofvaluebytheprincipal.
(b)Incaseofdispute,thecompetentcourtwillexclusivelyresolvetheissueofwhetherdamageiscoveredbytheForwarder'sRiskPolicy.
(c)ShouldtheforwardernothaveconcludedaForwarder'sRiskPolicyinaccordancewithSection39,hemaynotinvoketheGeneralAustrianForwarders'TermsandConditionsconcerningtheprincipal.
(d)Paras.
(a)through(c)applyanalogouslytotheinsurancecoveredundertheCartageRiskPolicy.
Section42ThesecondandthirdsentencesofSection35Para.
(a),applyanalogouslytotheForwarder'sRiskandCartageInsurancePolicies.
XI.
WarehousingSection43(a)Warehousingwillbecarriedoutatthewarehousekeeper'sdiscretion,eitherinhisownwarehouseorthatofathirdparty(privateorpublic).
Shouldthewarehousekeeperstoregoodsinathirdparty'swarehouse,hehastoinformthedepositorinwritingofthelocationofthewarehouseandthenameofitskeeperor,incaseofawarehousewarrant,tomarktheseonthewarrant.
Thisprovisiondoesnotapplyincasesofwarehousingabroadorwarehousingconnectedwiththetransportationofthegoods.
(b)Ifthewarehousekeeperhasstoredthegoodsinathirdparty'swarehouse,therelationshipbetweentheprincipalandhimselfaccordingtoSection2Para.
(c)willbesubjecttothesametermsandconditions,whichapplytotherelationshipbetweenthewarehousekeeperandthethirdpartyconcerned.
Ifrequestedtodoso,thewarehousekeepermustsupplytheprincipalwithdetailsofsuchtermsandconditions.
However,thetermsandconditionsofthethird-partywarehousekeeperwillnotapplytotherelationshipbetweentheprincipalandthewarehousekeeper,totheextentthattheyincludearightoflienexceedingthescopeoftheliensetoutinSection50ofthesetermsandconditions.
(c)Thewarehousekeeperisonlyliableforthesecurityandsurveillanceofthewarehousetotheextentthathehimselfistheproprietorandthesecurityandsurveillanceofthewarehouseisdeemedreasonableandusualunderconsiderationofallcircumstancesconcerningthewarehouselocation.
Thewarehousekeeperisdeemedtohavefulfilledhissurveillanceduty,providedthathehasapplieddueandproperdiligenceuponrecruitingandhiringsecuritypersonnel.
(d)Thedepositorisentitledtoinspectthewarehouseorhaveitinspected.
Objectionsorcomplaintsaboutthestorageofthegoodsorthechoiceofwarehousemustbemadewithoutdelay.
Ifhedoesnotexercisetherightofinspection,hewavesallrightstoobjectionsagainstthestorageandwarehousing,aslongasthechoiceandtypeofstoragecomplieswiththedueandproperdiligenceofaprudentwarehousekeeper.
Section44(a)Thedepositorcanonlyaccessthewarehouseifaccompaniedbythewarehousekeeperoranemployeedulyauthorizedbyhim.
(b)Accesstothewarehousemayonlybegrantedduringthewarehousekeeper'snormalbusinesshours,andonlyiftheworkcanbeconductedduringdaylight.
Section45(a)Shouldthedepositorhandlethegoodsinanywaywhatsoever(e.

Otherwise,thewarehousekeeperisreleasedfromanyliabilityfordamages,whicharesubsequentlydiscovered.
(b)Thewarehousekeeperreservestherightofhandlingthestoredgoodsbyhisownemployeesinthemannerrequestedbythedepositor.
Section46(a)Thedepositorisliableforalldamagetothewarehousekeeper,otherdepositorsorthepropertyowner,causedbyhisemployeesoragentsuponenteringordrivingintothewarehouseorwarehouseproperty,unlesshe,hisemployeesoragentsarenotresponsibleforthedamage.
Agentsofthedepositorincludealsothirdpartiesvisitingthewarehouseorthewarehousepropertyonthedepositor'sauthority.
(b)Thewarehousekeepermaynotassigntherightstothirdparties,whichheisentitledaccordingtoPara.
(a),providedthatsuchrightsexceedthescopestipulatedbylaw.
Section47(a)Unlessotherwiseagreedinwriting,thewarehousekeeperisentitledtoterminatethewarehousecontractbygivingonemonth'sadvancenoticebymeansofregisteredlettertotheaddresslastknowntohim.
(b)Terminationwithoutadvancenoticeisallowedinparticularifthegoodsconcernedconstituteahazardtoothergoodsstored.
(c)Ifthewarehousekeeperhasreasonabledoubtthatthesecurityofhisclaimiscoveredbythevalueofthegoods,heisentitledtosetareasonabletimelimitforthedepositortoeithersecuretheclaimsofthewarehousekeeperortomakealternativeprovisionsforthestorageofthegoods.
Ifthedepositordoesnotcomplywiththis,thewarehousekeeperisentitledtoterminatethecontractwithoutfurthernotice.
Section48(a)Assoonasthegoodshavebeendulyandproperlystored,eitherawarehousewarrantorawarehousewarrantmadeouttoanamedpersonistobeissueduponrequest.
Incaseofdoubt,thecertificateissuedbythewarehousekeeperwillbeconsideredtobemerelyawarehousewarrant.
(b)Thewarehousewarrantconstitutesmerelyacertificateofgoodsreceivedbythewarehousekeeper,whoisnotobligedtoreleasethegoodstoanypartypresentingthewarrant.
(c)Thewarehousekeeperisentitled,butnotobliged,tochecktheidentityofthepartypresentingthewarrant.
Accordingly,thewarehousekeepermayreleasethegoodsimmediatelytoanypartypresentinghimwiththereceipt.
(d)Anyassignmentorpledgingofthedepositor'srightsarisingfromthewarehousecontractisnotbindingonthewarehousekeeperuntilthedepositorhasinformedhimaboutitinwriting.
Insuchacaseonlythepersonwhohasbeenassignedorpledgedthedepositor'srightsconcerningthewarehousekeeper,isentitledtodealwiththestoredgoods.
(e)Ifawarehousewarranttoanamedpersonhasbeenissued,thewarehousekeeperisonlyauthorizedtoreleasethegoodsagainstpresentationofthewarrant,andnotagainstadeliverynote,deliveryorderorthelike.
Incaseofassignment,thegoodsmayonlybereleasedtotheholderofawarehousingwarrantwhoseauthoritycanbetracedbackonthebasisoftheassignmentslistedinuninterruptedsequenceonsuchareceipt.
(f)Thewarehousekeeperisnotobligedtoverify(1)theauthenticityofthesignaturesappearingonthedeclarationsofassignment;(2)theauthenticityofthesignaturesappearingonthedeliveryorderorthelike;(3)theauthorityofthesignatoriesunderClauses(1)and(2)above,unlessotherwiseagreedwiththeprincipal,orifalackofauthenticityorauthorityisobvious.
(g)Anyassignmentorpledgingofthedepositor'srightsarisingfromthewarehousingcontractwillnotbebindingonthewarehousekeeper,unlessconfirmedonthewarehousereceiptinwritingand,inthecaseofapledging,alsoreportedtothewarehousekeeper.
(h)Inaccordancewiththetermsandconditionssetoutabove,thewarehousekeepermayonlydisputethedepositor'sauthorizedlegalsuccessoronthebasisofthevalidityoftheissuanceofthewarehousingwarrant,orobjectionsconcerningthewarrantitself,orwithotherobjectionstowhichthewarehousekeeperisdirectlyentitledconcerningthelegalsuccessorconcerned.
Thewarehousekeeper'srightoflienorretentionasstipulatedbylawremainsunaffected.

XII.
RightofLienSection50(a)Theforwarderhasarightoflienandretentiononallgoodsorothervaluablesinhispossessiontocoveranyaccountsreceivable,whetherdueornotdue,towhichheisentitledconcerningtheprincipalonthebasisofhisactivitiesassetoutinSection2Para.

Totheextentthatsuchrightoflienorretention,inthesenseoftheprecedingsentence,isusedtosecureaccountsreceivablenotsecuredunderlegallystipulatedrightsoflienorretention,onlythosegoodsandvaluablesbelongingtotheprincipalwillbecovered.

(d)Inconnectionwithanorder,theforwarderisnotentitledtokeepthegoodsatathirdparty'sdisposalortoreleasethemtoathirdparty,ortoexercisehisrightoflienorretentionwithrespecttoaccountsreceivablefromathirdparty,whicharenotconnectedwiththegoodsconcerned,totheextentthatandaslongastheexerciseofsuchrightcouldbeincontradictiontotheinstructionsandthelegitimateinterestsoftheoriginalprincipal.
(e)Theprovisionssetoutabovedonotaffectanyoftheforwarder'sfurtherlegalrightsoflienorretention.
(f)Ifathreatofforcedsalearises,thedebtorwillbegrantedaperiodofoneweektosettlethematter.

(g)Forsalesunderlienoruponresaleofgoodswithoutrecoursetolegalprocess,theforwardermaychargeinanycaseasalescommissiononthegrossproceedsinanamountconformingtolocalrates.
XIII.
Forwarder'sLiabilitySection51(a)Asarule,theforwarderisonlyliableforallhisactivities(Section2Para.
[a])totheextentthatheisatfault.
Theforwardercarriestheburdenofproof.
However,ifnodamagetothegoodswasexternallyrecognizable,orifitcannotbereasonablyexpectedoftheforwarderunderthecircumstancestohaveclarifiedthecauseofsuchdamage,theprincipalmustprovethattheforwarderwasresponsibleforthedamage.
(b)Furthermore,theforwarder'sliabilityislimitedornotapplicable,subjecttotheprovisionssetoutaboveandbelow,exceptinthecaseofintentorgrossnegligence.

actsofGod,weatherconditions,defectiveequipmentorcables,impactofothergoods,damagecausedbyanimalsornaturalchangeinthegoodsthemselves);(e)damageandlosscausedduringinlandwaterwayshipping(includingpre-carriageandon-carriagetransportationvialandvehicles,aswellaspreliminary,interimandon-carryingstorage)whichiscoveredundertransportorwarehouseinsurance,orwhichcouldhavebeencoveredbytransportorwarehouseinsurancepoliciesoftheusualkind,orwhichcanbecoveredapplyingtheusualprinciplesofdiligentbusinesspracticeaboveandbeyondthescopeoftransportorwarehousepoliciesoftheusualsort,unlessanydulyconcludedinsurancepolicyisrenderedineffectiveduetoimproperactiononthepartoftheforwarder.
Section58(a)IfdamagecouldhavearisenasaresultofoneoftherisksdefinedinSection57,itwillbeassumedthatitactuallyaroseinthisway.
Insuchcases,theforwarderwillonlybeliabletotheextentthatitcanbeprovedthathecausedthedamage.
(b)TheprovisionsoftheotherSectionsremainunaffected,providedthatthattheylimitliabilityorrenderitinapplicablebeyondthescopeoftheprovisionsofSections57and58Para.

Section59Theforwarderwillbeexemptedfromanyliabilityifheisabletoprovethathedeliveredthegoodsinthesameexternalconditioninwhichhehadreceivedthem.
Theforwarder'sobligationsassetoutinSection388oftheAustrianCommercialCoderemainunaffected.
Section60(a)Alldamage,evenifnotexternallyrecognizable,mustbereportedtotheforwarderinwritingwithoutdelay.
Ifthegoodshavebeendeliveredbyaforwardingagent,theforwarderdeliveringthegoodsmustbeinpossessionofthedamagereportbynolaterthanthesixthdayfollowingthatofdelivery.
(b)Incasesofnon-compliancewiththisprovision,damagewillbedeemedtohaveoccurredsubsequenttotheirdelivery.
(c)Shouldtheforwarderreceiveadamagereportatatimewhenitisnolongerpossibleforhimtosafeguardrightsagainstthirdparties,theforwarderwillnotberesponsiblefortheconsequences.
Section61Inallcases,inwhichthedamageamounttobepaidorvoluntarilyofferedbytheforwardercoversthefullvalueofthegoods,hewillonlybeobligedtoeffectpaymentsubjecttoback-to-backtransferofthegoods,andagainstassignmentofallclaimstowhichtheprincipalorpayeeisentitledconcerningthirdpartieswithrespecttothegoods.

XIV.
StatuteofLimitationsSection64Allclaimsassertedagainsttheforwarder,irrespectiveoftheirlegalbasisandthedegreeoffault,aresubjecttotheStatuteofLimitationsfollowingtheexpirationofaperiodofsixmonths.
Thelimitationperiodbeginsuponthebeneficiary'sawarenessofhisclaim,however,nolaterthanupondeliveryofthegoods.

PlaceofPerformance,JurisdictionandApplicableLawSection65(a)Theplaceofperformanceiswheretheforwarderreceivingtheorderhashiscommercialheadoffice.
(b)Theplaceofjurisdictionforallmattersoflegaldisputearisingfromthecontractualrelationshiporinconnectiontherewithwillbetheplaceofperformancewheretheforwarderreceivingtheorderhashiscommercialheadoffice.
Thisjurisdictionwillhaveexclusivecompetenceinallmattersconcerningclaimsagainsttheforwarder.

TheywaiveanyobjectionsthattheforwardercouldclaimundertheGeneralAustrianForwarders'TermsandConditionsoranyotheragreement,tradeortransportationpracticeregulationsconcerningexclusionorlimitationofmandatoryliability.

Theinsurancealsocoversclaimsoftheinsuredpartynotbasedonthetransportationcontracts,butonproperty,illegalbehaviourorunjustifiedenrichment,aslongastheseclaimsareconnectedtoatransportationcontractconcludedwiththeforwarder.

Theinsuredpartyisobligedtopreventorminimizeanydamage,takingintoaccountanyinstructionsoftheinsurers.
Heisalsoobligedtogivetheinsurersanyinformationordocumentsrequested.
Heiseffectivelyobligedtodoeverythingtohelpclarifythedamagethatwillbeandcanbejustlyrequestedbytheinsurers.
Ifhebreachestheseobligationsinagrossnegligentorwilfulmanner,thentheinsurersarereleasedfromtheirdutytoprovideinsurancecoverage.
Theforwarderisobligedinthesamemannertopreventorminimizeanydamage,takingintoaccountanyinstructionsoftheinsurers.
Heisalsoobligedtogivetheinsurersanyinformationordocumentsrequested.
Heiseffectivelyobligedtodoeverythingtohelpclarifythedamagethatwillbeandcanbejustlyrequestedbytheinsurers.
Iftheforwarder,hislegalrepresentative,proxyoranindependentmanagerofabranchoffice,breachestheseobligationsinagrossnegligentorwilfulmanner,thentheforwarderisliabletotheinsurersforfullreimbursementoftheresultingdamages.
Paymentofthedamageclaimismadetotheinsuredpartyorhisdelegate.
Ifthedamageiscausedbydefectiveloadingunderatransportationcontractordefectivestorageofinsuredgoods,theinsurerswillcompensatetheforwarderforanysupplementarycosts,includinganytelegram,telephoneandpostalfees,whichwereincurredorhadtobeincurredtoavoidanyfurtherdamage,ifamandatoryclaimcouldbemadeagainsthimbytheprincipaloranyotherinsuredpartyunderSection1(seehoweverSection14).
Theforwarderisobligedtoreportthedefectiveloadingimmediatelytotheauthorizedbrokerafterhehasknowsit,andtogiveallrelevantinformation.
Ifthecaseofgrossnegligentorintentionalbreachoftheseresponsibilities,theinsurersarereleasedfromtheirdutytowardstheforwarder.
Theclaimsoftheprincipalremainunaffected.
Section11AssignmentandDevolutionofRights(1)Onceadamageclaimhasbeenmadetheinsuredparty'srightsunderthiscontractcannotbeassignedagainsttheinsurerstosomeoneotherthantheforwarder.
(2)Claimsbyotherinsuredpartiesinthecaseofamandatorydevolutionareexcludedfromthisinsurancecontract.
(3)Theforwarder'srightscannotbeassignedtootherpersonsthattheinsurers.
Section12RightofRecourseoftheInsurers(1)Theinsurerswaivetheirrightofrecourseagainsttheforwarder,hisemployeesoranyintermediateforwarders,whohavesignedtheForwarder'sRiskInsurancePolicy.
(2)Howevertheinsurerhastherightoffullrecourseagainstanybodywhocausedadamageintentionally.
Section13Premiums(1)Premiumshavetobepaidforeverytransportationcontractwithanyprincipal.
Ifthetransportationcontractincludesdispositionstoanumberofrecipients,theneachdispositionisacontractsubjecttoapremium,unlessitconcernscollectionbythecustomer.
Inthiscasethereisaninsuredtransportationcontractnotsubjecttoapremium.
(2)Thepremiumratesforeachtransportationcontract(includinginsurancepremiumtax)aredetailedinthepremiumschedule.
(3)Therespectivepremiumwillbechargedforanytemporarywarehousinguptoaperiodof15days(Sundayandholidaynotincluded)directlyconnectedtoaforwardingandfreightcontract.
Inthecaseofanytemporarywarehousingmadeinconnectionwithawarehousingcontractforthesameperiod,thepremiumwillbechargedfromthebeginningofthestorage.
Thepremiumforwarehousingcontractswillbechargedfromthebeginningofeachmonth.
Ifthewarehousingcontractincludesfurtherservices,suchascommissioning,packing,pricingorthelike,thenthepremiumisdoubledfromthebeginningofstorage.
Section14DamageContributionbytheForwarder(1)Theforwarderhastoimmediatelyreimbursetheinsurers'authorizedbroker10%ofanysumperdamageclaimpaidbytheinsurers,butatleast10,90,uptoamaximumof181,68.
Thefirstforwarderisentitledtoclaimhisriskcontributionfromthepartywhocauseddamageresultinginaclaimsatisfiedbytheinsurers.
(2)Thecontributionoftheforwardertowardsthedamageincreasesfrom10%to20%ifalegalrepresentative,proxyorindependentmanagerofabranchofficehascausedthedamageintentionallyorcriminally,andiftheforwarderhasbreachedthesupervisionobligationofaprudentbusinessman.
Themaximumcontributioninsuchacaseis726,73.

Section16TerminationTheinsurershavetherightofterminatetheForwarder'sRiskInsuranceCertificateafterapprovaloftheTradeAssociationofForwarders.
Thisapprovalisdeemedeffectiveifitisnotrefusedinwritingwithin4weeksafterreceiptofthewrittennotificationoftheinsurers.
(1)TerminationwithoutnoticeTheinsurerscanterminateacontractwithoutnoticeunderthefollowingcircumstances:(a)IncasesunderSection12Para.
2andSection15;(b)IftheforwarderhasdelayedpaymentofasumdueafterreceivingareminderforanysumdueunderSection14,orsumspecificallyknowntohim,oranysumunderfinaljudgementofanordinarycourt.
Theremindermustbesentbyregisteredletter,statingthelegalconsequencesresultingfromexpiryofthegraceperiod;(c)Underanyothermandatoryrequirements,inparticularconcerningamaterialmatter.
Insofarasarighttoterminationiscoveredbytheseprovision,thecontractualprovisiontakesprecedenceoverthelaw;(d)Theeffectivenessoftheterminationwithoutnoticebeginsattheendof5thdayaftertheday,whentheterminationnoticewashandedovertothepostalauthorities.
(2)ParticularrightofterminationIftheservicesoftheinsureroveracalendaryearexceedthegrosspayments(minusinsurancepremiumtax)madebytheforwarderinthesameperiod,theinsurersareentitledtoinsistonspecificreorganizationmeasuresbytheforwarderduringthefollowingyear.
Ifnoagreementisreachedwithinareasonablegraceperiod,thentheinsurersareentitledtoterminatethecontractwithamonth'snotice.
(3)IftheTradeAssociationofForwardersandtheinsurerscannotreachagreement,thenanarbitrationcourtwillmakethedecision.
Eachpartyelectsonearbitrator,whothenelectthechairman.
Ifthearbitratorscannotagreeonthechairmanwithin2weeks,thenhewillbeappointedonthesuggestionofoneofbothpartiesbythePresidentoftheFederalChamberofTradeandIndustry,orifheisnotavailable,byhisdeputy.
(4)TheterminationhastobesentbyregisteredmailtotheforwarderandtheTradeAssociationofForwarders.
Section17TermsofInsurance(1)Thiscontractisvalidfrom1January1989to31December1989.
Itisextendedannually,unlessterminatedwith3month'snoticepriortotheendofthecalendaryear.
Theterminationhastobesenttotheinsurers'authorizedbroker.
IfanyamendmentstothiscontractaremadebetweentheinsurancecompaniesparticipatinginthisinsurancepolicyandtheTradeAssociationofForwarders,thentheseamendmentstakeprecedenceoverpreviousterms.
Section18Jurisdiction(2)TheplaceofjurisdictionisViennaforclaimsbytheinsurersagainsttheforwardersconcerningthepaymentofpremiumsorcontributorydamagesunderSection14.
Theleadinginsurerisauthorizedbytheparticipatinginsurerstodealwithalllegaldisputes,includingtheirparticipationquotasasplaintifforcorrespondent.
Theotherinsurerswillrecognizeanycourtdecisionagainsttheleadinginsurerasbinding.
Theauthorizedbrokerisentitledtoasserttherightsoftheinsurersunderthiscontractinhisownname.
Section19LeadershipClauseandShareholderListAllthefollowinginsurancecompaniesparticipatewiththeirrespectivequotasintheForwarder'sRiskInsuranceCertificate,andtotheexclusionofjointliability.
