RIGHTSANDLICENSESThisNovellSoftwareLicenseAgreement("Agreement")isalegalagreementbetweenYou(anentityoraperson)andNovell,Inc.
("Novell")withrespecttothesoftwareproductidentifiedinthetitleofthisAgreement,media(ifany)andaccompanyingdocumentation(collectivelythe"Software").
TheSoftwareisacollectiveworkofNovell.
YoumaymakeanduseunlimitedcopiesoftheSoftwareforYourdistributionandusewithinYourOrganization.
Theterm"Organization"meansalegalentity,excludingsubsidiariesandaffiliateswithaseparateexistencefortaxpurposesorforlegalpersonalitypurposes.
AnexampleofanOrganizationintheprivatesectorwouldbeacorporation,partnership,ortrust,excludinganysubsidiariesoraffiliatesoftheorganizationwithaseparatetaxidentificationnumberorcompanyregistrationnumber.
Inthepublicsector,anexampleofOrganizationwouldbeaspecificgovernmentbodyorlocalgovernmentauthority.
TheSoftwareisamodularoperatingsystem.
Mostofthecomponentsareopensourcepackages,developedindependently,andaccompaniedbyseparatelicenseterms.
Yourlicenserightswithrespecttoindividualcomponentsaccompaniedbyseparatelicensetermsaredefinedbythoseterms;nothinginthisAgreementshallrestrict,limit,orotherwiseaffectanyrightsorobligationsYoumayhave,orconditionstowhichYoumaybesubject,undersuchlicenseterms.
WhilethelicensetermsforacomponentmayauthorizeYoutodistributethecomponent,YoumaynotuseanyNovellmarks(e.
g.
,SUSEandSUSELINUX)indistributingthecomponent,whetherornotthecomponentcontainsNovellmarks.
OTHERLICENSETERMSANDRESTRICTIONSTheSoftwareisprotectedbythecopyrightlawsandtreatiesoftheUnitedStates("U.
S.
")andothercountriesandissubjecttothetermsofthisAgreement.
TheSoftwareislicensedtoYou,notsold.
TheSoftwaremaybebundledwithothersoftwareprograms("BundledPrograms").
YourlicenserightswithrespecttoBundledProgramsaccompaniedbyseparatelicensetermsaredefinedbythoseterms;nothinginthisAgreementshallrestrict,limit,orotherwiseaffectanyrightsorobligationsYoumayhave,orconditionstowhichYoumaybesubject,undersuchlicenseterms.
NovellreservesallrightsnotexpresslygrantedtoYou.
Youmaynot:(1)reverseengineer,decompile,ordisassembletheSoftwareexceptandonlytotheextentitisexpresslypermittedbyapplicablelaworthelicensetermsaccompanyingacomponentoftheSoftware;or(2)transfertheSoftwareorYourlicenserightsunderthisAgreement,inwholeorinpart.
MAINTENANCEANDSUPPORTYourrightswithrespecttoupdates,patches,orothermaterialsreceivedunderasubscriptiontoaNovellmaintenanceprogramfortheSoftwarearedefinedbytherelevantmaintenanceprogramterms.
NovellhasnoobligationunderthisAgreementtoprovidemaintenanceorsupportfortheSoftware.
DependingonhowYouacquiredtheSoftware,YoumayhavealsoacquiredamaintenancesubscriptionfortheSoftware.
FormoreinformationonNovell'scurrentmaintenanceandsupportofferings,seehttp://www.
novell.
com/support.
OWNERSHIPRIGHTSNotitletoorownershipoftheSoftwareistransferredtoYou.
Novelland/oritslicensorsownsandretainsalltitleandownershipofallintellectualpropertyrightsintheSoftware,includinganyadaptationsorcopies.
YouacquireonlyalicensetousetheSoftware.
LIMITEDWARRANTYForninety(90)daysfromYourdateofpurchase,Novellwarrantsthat(1)anymediaonwhichtheSoftwareisdeliveredisfreefromphysicaldefects;and(2)theSoftwarewillsubstantiallyconformtothedocumentationaccompanyingtheSoftware.
IfthedefectiveitemsarereturnedtoNovellorifYoureportthenonconformitytoNovellwithinninety(90)daysfromthedateofpurchase,NovellwillatitssolediscretioneitherresolvethenonconformityorrefundthelicensefeesYoupaidfortheSoftware.
AnymisuseorunauthorizedmodificationoftheSoftwarevoidsthiswarranty.

GENERALTERMSTerm.
ThisAgreementbecomeseffectiveonthedateYoulegallyacquiretheSoftwareandwillautomaticallyterminateifYoubreachanyofitsterms.
UponterminationofthisAgreement,YoumustdestroytheoriginalandallcopiesoftheSoftwareorreturnthemtoNovellanddeletetheSoftwarefromYoursystems.
BenchmarkTesting.
ThisbenchmarktestingrestrictionappliestoYouifYouareasoftwarevendororifYouareperformingtestingontheSoftwareatthedirectionoforonbehalfofasoftwarevendor.
Youmaynot,withoutNovell'spriorwrittenconsentnottobeunreasonablywithheld,publishordisclosetoanythirdpartytheresultsofanybenchmarktestoftheSoftware.
IfYouareavendorofproductsthatarefunctionallysimilartoorcompetewiththeSoftware("SimilarProducts"),orareactingonbehalfofsuchavendor,andYoupublishordisclosebenchmarkinformationontheSoftwareinviolationofthisrestriction,thennotwithstandinganythingtothecontraryintheSimilarProduct'senduserlicenseagreement,andinadditiontoanyotherremediesNovellmayhave,NovellshallhavetherighttoperformbenchmarktestingonSimilarProductsandtodiscloseandpublishthatbenchmarkinformationandYouherebyrepresentthatYouhaveauthoritytograntsuchrighttoNovell.
Transfer.
ThisAgreementmaynotbetransferredorassignedwithoutthepriorwrittenapprovalofNovell.
LawandJurisdiction.
ThisAgreementisgovernedbythelawsoftheStateofUtah,U.
S.
AnyactionatlawrelatingtothisAgreementmayonlybebroughtbeforethecourtsofcompetentjurisdictionoftheStateofUtah.
If,however,YourcountryofprincipalresidenceisamemberstateoftheEuropeanUnionortheEuropeanFreeTradeAssociation,thisAgreementisgovernedbythelawsofthatcountry,andanyactionatlawmayonlybebroughtbeforeacourtofcompetentjurisdictionofthatcountry.
EntireAgreement.
ThisAgreementandtheUpgrade/AdditiveAgreement(ifapplicable)setsforththeentireunderstandingandagreementbetweenYouandNovellandmaybeamendedonlyinawritingsignedbybothparties.
NOLICENSOR,DISTRIBUTOR,DEALER,RETAILER,RESELLER,SALESPERSON,OREMPLOYEEISAUTHORIZEDTOMODIFYTHISAGREEMENTORTOMAKEANYREPRESENTATIONORPROMISETHATISDIFFERENTFROM,ORINADDITIONTO,THETERMSOFTHISAGREEMENT.
Waiver.
NowaiverofanyrightunderthisAgreementwillbeeffectiveunlessinwriting,signedbyadulyauthorizedrepresentativeofthepartytobebound.
NowaiverofanypastorpresentrightarisingfromanybreachorfailuretoperformwillbedeemedtobeawaiverofanyfuturerightarisingunderthisAgreement.
Severability.
IfanyprovisioninthisAgreementisinvalidorunenforceable,thatprovisionwillbeconstrued,limited,modifiedor,ifnecessary,severed,totheextentnecessary,toeliminateitsinvalidityorunenforceability,andtheotherprovisionsofthisAgreementwillremainunaffected.
ExportCompliance.
Anypersonorentityexportingorre-exportingNovellproductsdirectlyorindirectlyandviaanymeans,includingelectronictransfer,iswhollyresponsiblefordoingsoinaccordancewiththeU.

ExportAdministrationRegulationsandthelawsofhostcountries.
Novellassumesnoresponsibilityorliabilityforyourfailuretoobtainanynecessaryexportapprovals.
Approvalsaredependentuponanitem'stechnicalcharacteristics,thedestination,end-useandend-user,aswellasotheractivitiesoftheenduser.
Specifically,noNovellproductmaybeexportedtoembargoedorotherwiserestrictedcountriesorendusers.
