EsteacuerdonolepermitedistribuirelsoftwareosuscomponentesusandolasmarcascomercialesdelLicenciador,apesardequelacopiahayasidomodificada.
SolopodráhacerunaredistribucióncomercialdelosProgramassi(a)estáautorizadobajounacuerdoescritoporseparadoconelLicenciadorenelqueleautorizaadicharedistribucióncomercial,o(b)sieliminaoreemplazatodasealdelasMarcas.
RESTRICCIONESRestriccionesdelalicencia.
ElSoftwareycadaunodesuscomponentespertenecenalLicenciadoryotrosotorgantesdelicenciayestánprotegidosbajoleyesdecopyrightyotrasleyesaplicables.
Latitularidaddelsoftwareycualquiercomponente,odecualquiercopia,modificaciónoporciónfusionadacontinuarásiendodelLicenciadoryotrosotorgantesdelicencia,sujetaalalicenciaaplicable.
ElLicenciadorsereservatodoslosderechosquenoseleotorguenexpresamente.
LalicenciadelSoftwareselimitaasuusointernoexclusivamente.
Conlaexcepciónqueesteacuerdopermitaexpresamente,nopuede(1)eliminarningunapatente,marcacomercial,copyright,secretocomercialuotrasnoticiasomarcasregistradasenelsoftwareosudocumentación;o(2)revelarlosresultadosderendimiento,funcionaluotraevaluaciónocomparativademercadodelsoftwareaotrofabricantesincontarconelpremisoprevioporescritodelLicenciador.

SulicenciaparausarelsoftwarepuedeusarsebajolostérminosdeesteAcuerdoporotrosfabricantesactuandoensunombre,comootrofabricanteproveedordecloudounproveedordeexternalizaciónquegestioneoseahostpara(tantoremotacomovirtualmente)elsoftwareparausted,sujetoayqueseatienealosiguiente:(1)ustedsiguesiendoresponsabledetodassusobligacionesbajoesteAcuerdoyaccedeaunacuerdoejecutorioconotrofabricantequecontienetérminosycondicionesqueprotegenlosderechosdelLicenciadorenelsoftwareyquenosonmenosrestrictivosqueloscontenidosenelpresenteAcuerdo,incluyendosinlimitaciónlaseccióndeverificaciónsiguiente;(2)ustedprohibeelusodelsoftwareporelotrofabricanteparacualquierotropropósitoquenoseasupropiobeneficio;(3)ledeberesponsabilidadúnicamentealLicenciadorporcualquiertipodeincumplimientodeesteAcuerdoporelotrofabricante;y(4)seguirásiendoustedeltitulardelaadquisicióndelasuscripciónquecubretodaslasinstalacioneseimplantacionaesdelsoftwareporelotrofabricanteensunombre.
Aplicacióndelicencia.
Sirecibehardware,softwareocualquieraplicaciónqueutiliceelSoftware,yaseadirectamentedelLicenciadorodeuntercero,UstedreconoceyaceptautilizarelSoftwareúnicamenteconelfindeejecutarlaaplicaciónynocomounsistemaoperativodeusogeneral.
TITULARIDADElpresenteAcuerdonosuponelacesiónnitransferenciadelatitularidadopropiedadsobreelSoftware.
ElLicenciadorysuslicenciadoresexternosmantieneníntegramenteelderecho,latitularidadyelinteréssobretodoslosderechosdepropiedadintelectualespecificadosenelSoftwareyenlosServicios,incluidassuscopiasoadaptaciones.
ElSoftwarenoselevende,UstedadquiereúnicamenteunalicenciacondicionaldeusodelSoftware.
Latitularidad,losderechosdepropiedadylosderechosdepropiedadintelectualdelcontenidoalqueseaccedeatravésdelSoftwaresonpropiedaddelospropietariosdelcontenidoaplicableydebenestarprotegidosporelcopyrightuotrasleyesaplicables.
EsteAcuerdonoledaderechoalgunosobredichocontenido.
GARANTALIMITADAElLicenciadorgarantizaqueelmedioenelqueseentregaelsoftwareestálibrededefectosenmaterialesymanufacturadobajounusonormalparaunperiododesesenta(60)díasdesdelafechadeentrega.
LAANTERIORGARANTAESLANICAYEXCLUSIVACOMPENSACINDELUSUARIOYSUSTITUYEACUALQUIEROTRAGARANTA,YASEAEXPLCITAOIMPLCITA.

Servicios.
ElLicenciadorgarantizaquecualquiertipodeServicioadquiridoserásuministradodeformaprofesional,deconformidadconlosestándaresgeneralesdelsector.
Estagarantíatendráunavigenciadetreinta(30)díasdesdelaentregadelosServicios.
Encasodeincumplimientodeestagarantía,laúnicaobligacióndelLicenciadorescorregirlosServiciosdemodoqueseajustenalagarantíaobien,demaneraoptativa,rembolsarelimporteabonadoalLicenciadorenconceptodelServicioqueincumplalapresentegarantía.
Ustedsecomprometeatomarlasmedidasnecesariasparaaislaryrealizarcopiasdeseguridaddesussistemas.

ElLicenciadortienederechoaverificarelcumplimientoconelpresenteAcuerdo.
Ustedacepta:(1)aplicarmedidasdeseguridadinternasparaimpedircualquiercopia,distribución,instalación,usooaccesosinautorizaciónalSoftwareosuscripcionesyelmantenimientoasociado;(2)mantenerregistrossuficientesparacertificarelcumplimientodeesteAcuerdoy,apeticióndelLicenciador,proporcionarycertificarmétricaseinformessegúntalesregistros,considerandoelnúmerodecopias(porproductosyversiones)yarquitecturasderedquepuedanrelacionarserazonablementeconsuslicenciaseimplementacióndelSoftwareosuscripciones,y(3)permitirqueunrepresentantedelLicenciadorounauditorindependiente("Auditor")inspeccioneyauditesus(incluyendosubsidiariosoafiliados)equiposyregistros,durantesuhorariolaboralhabitual,paradeterminarlaconformidadconlostérminosdelalicenciadelosproductosdesoftwarey/osuscripcionesdelLicenciador.
DespuésdequeelLicenciadoroelAuditorlehayanentregadosuscompromisosescritosconlosquesalvaguardarsuinformaciónconfidencial,habrádeprestartodacolaboraciónconlacitadaauditoría,brindartodalaayudaqueseanecesariaypermitirelaccesoaregistrosyequipos.
Siunaauditoríarevelaquetieneoencualquiermomentohatenidounainstalación,usooaccesoalSoftwareosuscripcionessinlicencia,Usteddeberáenunplazomáximode30díasadquirirunnúmerodelicenciasosuscripcionessuficientesparacubrircualquierdéficitsinelbeneficiodeningúntipodedescuentoaplicable.
Dichaslicenciasreflejaránelperiodoquehaestadosinlicencia.
Sisedescubreunafaltadelicenciasdel5%omás,deberáreembolsaralLicenciadorloscostesasociadosalaauditoría.
Transferencias.
EsteAcuerdoylaslicenciasasociadascompradasparaelusodelSoftwarenopodrántransferirseocedersesinelconsentimientoprevioporescritodelLicenciador.

TodaslascuestionesquesurjanoesténrelacionadasconelAcuerdoseregiránporlasleyesdelosEstadosUnidosyelEstadodeUtahsinconsideraciónasueleccióndedisposicioneslegales.
Cualquierpleito,acciónoprocedimientoquesurjadeoestérelacionadoconesteAcuerdosolopodráserllevadoanteuntribunalfederaloestataldejurisdiccióncompetenteenUtah.
SiunaparteiniciaprocedimientoslegalesrelacionadosconelAcuerdo,laparteganadoratendráderechoarecuperarloshonorariosrazonablesdeabogados.

Renuncia.
NingunarenunciavoluntariaalosderechosotorgadosenvirtuddeesteAcuerdoseráefectiva,amenosqueserealiceporescritoyestéfirmadaporunrepresentantedebidamenteautorizadodelapartevinculada.
