Internet Domain Name Assignment Contract

根据国家有关法律、法规以及相关规定甲、乙双方在自愿、平等、互利的基础上经协商一致域名转让事宜订立本合同以资信守

一、 域名情况及转让范围The status of the domain name and the scope of the assignment

1、 甲方合法拥有下列域名:在规定期限内的管理权使用权所有权。

2、 甲方同意将上述域名的权限完全转让乙方所有。

二、转让价格及支付方式The assignmentfeesand the payment

1、 出让总价:  The total assignmentfees:

2、 乙方必须在甲方完成转让注册前一次性支付所有费用(即甲方将过户文件提交北京注册商总部前)

Party B should payoff the total assignmentfees inonetime beforethe completionof the assignmentdeed。

3、 甲方收到转让费用后办理转户手续。 (以当地银行收到款项为准)

After receiving the assignmentfees  partyA would perform the trafer procedure. (The receipt time refe to the payment is received in local bank)

4、 其他费用:甲方支付Otherexpenditure: It is paid by partyA

二、双方权利与义务、域名过户流程及其他

The l iabi l ityof two parties and assignment procedure

1、 双方权利不义务 Rights and obl igatio of two parties:a、 甲方保证合法拥有以上所述域名的所有权、管理权、使用权如有欺诈行为将承担

相关的民事和刑事责仸;

The partyAguarantees that itenjoys above mentioned property managing and using right. If there were anyfraud  it would bear thecorrelativecivi l orcriminal l iabi l ities。b、 甲方收到转让费用后5个工作日内为乙方办理过户事宜丌得拖延;

The partyA wi l l proceed the assignment in 5 workdays after it getstheassignmentfeesand there is notanydelay。c、过户后乙方使用此域名产生的一切后果及责仸不甲方无关由乙方承担全部责仸;

Concluded theassignment  any resultand l iabi l itywhich Party Bwi l l bring inthe processof using of thedomain name  is none of the businessWith PartyA and should be born by Party B。

2、 过户流程Trafer flow:a、 乙方在该域名的注册商官方站过户资料表格填好后签字盖章EMS 邮寄到甲方;

Party B should download thedatasheetforassignmentfromthe official website of the authorized agent  execute and post it to PartyA by EMS。b、 甲方在收到乙方的过户资料后经审核无误后签字并盖章;

PartyAshould execute the assignmentdata sheetafter receiving and checking out itfree from error。c、 财务到帐后甲方将完整的.过户文件EMS提交至北京注册商总部;

PartyAcan submit the whole documents tothe authorized agent once PartyAgets the assignmentfees by EMS。d、 北京注册商总部收到过户资料后在2-5个工作日内将把原注册内容替换成新注册人的信息;

Receiving the documents forassignment  the authorized agent would replacethe original information of assignoras the new information about assignee in 2 to 5 workdays。e、 完成过户手续后乙方可在中国互联网信息中心官方站查询该域名的WHOIS 核对

无误后发传真戒电子邮件给甲方做最后的确认。

Concluded the assignment  Party B can search WHOIS of the domain name onthe official website of ChinaInternet Network

Information Center.Afterchecking  Party B should send emai l to Party Aforconfirmation。

3、双方应本着诚实信用的原则履行本合同。仸何一方在履行中采用欺诈、胁迫戒者暴力的手段另一方可以解除合同并有权要求对方赔偿损失。仸何一方在履行中发现戒者有证据表明对方已经、正在戒者将要违约可以中止履行本合同但应及时通知对方。 甲方提前解除合同无权要求乙方返还域名并应对乙方遭受的损失承担赔偿责仸乙方无故解除合同应返还甲方上述费用以及域名。

Found in the performance of any party  or there is evidence that the other party have been  are orwi l l default  may suspend the performance of the contract  butshal l promptly notify the other party.Where partyA early termination of the contract  no right todemandthe returnof thedomainand should bearthe l iabi l ityfor losses of party B  where party B terminate contract withoutval id reason  these costs should be compeated to Aand the domain name should be returned to partyA。

4、 其他:其余未尽事宜双方协商解决。

Othermatte:The remaining outstanding issues resolved through mutual coultation。

三、 合同双方签署后生效Contracts ente into force after execution。

合同壹式两仹甲、乙方各持壹仹。

The contactshal l be executed in two counterparts  each party holdsone。
