Thecustomermaysellthereservedgoodsintheordinarycourseofbusiness.
Heshallnotbeentitledtodisposeofthegoodsinanyotherway,inparticularbywayofsecurityassignmentorpledge.
Theclaimsofthecustomerarisingfromtheresaleofthereservedgoods(includingotherclaimssuchasinsuranceclaimsorclaimsarisingfromunlawfulactsintheeventoflossordestruction)areherebyassignedtoMEYRAGmbHbywayofsecurity.
MEYRAGmbHacceptstheassignment.
Thecustomerisentitledtocollecttheassignedclaimaslongashefulfilshispay-mentobligations.
Intheeventofthecustomerbeingindefaultofpayment,weshallbeentitledtorevokethecollectionauthorisation.

Ifthereservedgoodsareprocessedbythecustomer,itisherebyagreedthattheprocessingshalltakeplaceinthenameandfortheaccountofMEYRAGmbHasmanufacturerandthatMEYRAGmbHshalldirectlyacquireownershipor-iftheprocessingtakesplacefromorinconnectionwithmaterialsofseveralownersorthevalueoftheprocesseditemishigherthanthevalueofthedeliveredgoods-co-ownership(fractionalownership)ofthenewlycreateditemintheratioofthevalueofthesubjectofdeliverytothevalueofthenewlycreateditem.
IfMEYRAGmbHlosesitspropertythroughcombinationorcommingling,orifitshouldnotbecometheownerofthesubjectofdeliveryinthecaseofprocessing,thecustomershallherebyinadvancetransfertoMEYRAGmbHaco-ownershipshareintheuniformitemcorre-spondingtotheproportionalvalueofthesubjectofdelivery.
MEYRAGmbHherebyacceptstheoffer.
Thedeliveryshallbereplacedbygratuitouscustody.

Thecustomerisobligedtoinformusimmediatelyofanyaccessbythirdpartiestothegoodsdeliveredunderretentionoftitleandtoprovideuswiththeinformationanddocumentsrequiredtoassertourrights.
AtthesametimethecustomershallinformthethirdpartyofMEYRAGmbH'srightofownershipwithoutbeingcalledupontodoso.
Anycostsarisinginthisconnectionshallbebornebythecustomer.

MEYRAGmbHundertakestoreleasethesecuritiestowhichitisentitledatthecustomer'srequestinsofarastheyexceedthevalueoftheclaimstobesecuredbymorethan20%.
TheselectionofthesecuritiestobereleasedisincumbentuponMEYRAGmbH.

Intheeventofaninsolvencypetitionconcerningthecustomer,weherebyprohibittheresaleorprocessingofourreservedgoodsandrevokeourauthorisationtocollecttheclaimsassignedtous.

Intheeventofdefaultinpaymentbythecustomer,weshallbeentitledtodemandimmediatesurrenderofthereservedgoods.
8.
GUARANTEE/LIABILITY8.
1.
Thecustomershallinspectthedeliveredgoodsimmediatelyupondelivery.
Insofarasobviousdefectsareconcernedordefectsthatwouldhavebeenfoundinthecourseofathoroughinspection,thecustomermustnotifyusofcomplaintsinwritingwithinoneweekofreceiptofthedelivery.
Afterexpiryofthisperiod,anyliabilityforthesedefectsshallbeexcluded.
Guaranteeclaimsforconcealeddefectsshallonlyexistiftheyarenotifiedtousinwritingwithinoneweekofbeingdetected.

2.
Incasesofdefectivedelivery,weshallhavetheright,atourdiscretion,torepairthedefectiveitemortoreplaceitwithanewdeliveryfreeofdefect.
Thecustomerisobligedtomakethedefectiveitemavailabletousfreeofchargeforinspectionandrec-ASAT:JANUARY2020tification.
Iftherectificationofdefectsorsubsequentdeliverydoesnotsucceed,ifitisnotprovidedwithinareasonableperiodoftimeorifitisrejectedbyus,thecustomermay,athisdiscretion,withdrawfromthecontractorreducethepurchaseprice.
Itisnotnecessarytosetatimelimitincaseswherethisisnotrequiredbylaw.

Theguaranteeshalllapseifthecustomerchangesthesubjectofdeliveryorhasitchangedbythirdpartieswithoutourconsentandtheremovalofthedefectistherebyrenderedimpossibleorunreasonablydifficult.
Thecustomershall,however,inanycasebeartheadditionalcostsofremedyingthedefectincurredasaresultofthechange.

Anyguaranteewhichwemayassumetowardsthefirstuseroftherehabilitationequipmentshallnotbeaffectedbytheaboveprovisions.

Excludedfromthewarrantyisthefunction-relat-edwearofallarticles,assemblies,batteriesandsparepartssuppliedbyus,aswellastheinappropriateorimproperstorage,useorhandlingofthegoods.

Furtherclaimsofthecustomer,inparticularfordamagesinsteadofperformanceandforcompensa-tionofanyotherdirectorindirectdamage-includingaccompanyingorconsequentialdamage,irrespectiveofthelegalbasis-areexcluded.
ThisshallnotapplyifMEYRAGmbHhasfraudulentlyconcealedalegalormaterialdefectorifthedamageisbasedonintentorgrossnegligenceofMEYRAGmbH,itslegalrepre-sentativesorvicariousagentsoranegligentviolationofessentialcontractualobligationsexists.
Essentialcontractualobligationsaresuchobligationsofwhichthefulfilmentisessentialfortheproperexecutionofthecontractandontheobservanceofwhichthecontractualpartnerregularlyreliesandmayrely.
Inthecaseofdamagetopropertyandfinanciallossescausedbyslightnegligence,however,theliabilityofMEYRAGmbHtopaycompensationislimitedinamounttoforeseeabledamagetypicalforthistypeofcontract.
Furthermore,physicalinjuryand/ordamagetohealthcausedbyaculpablebreachofdutyonthepartofMEYRAGmbH,itslegalrepresentativesorvicar-iousagentsarenotexcluded.

LiabilityundertheGermanProductLiabilityAct(Produkthaftungsgesetz)remainsunaffected.

LIMITATIONClaimsofthecustomeronaccountofmaterialdefectsshallbecometime-barredtwoyearsafterhandover/deliveryofthegoodstothecustomer.
Theperiodoflimitationforreplacementdevicesandrepairsshallbeoneyearfromhandover/deliveryofthegoodstothecustomer.
Excludedfromthisareclaimsfordamagesduetoinjurytolife,limborhealthand/orclaimsfordamagesonaccountofgrosslynegligentorintentionallycauseddamagebyMEYRAGmbHoritsvicariousagents.
Inthisrespect,thestatutorylimitationperiodsshallapply.

REPLACEMENTDEVICESERVICEIrrespectiveoftheguarantee,MEYRAGmbHshallofferitscustomerstheoptionofreplacingdefectivedeviceswithrefurbishedones.
Thefollowingprovi-sionsshallapplyinrespectofthesedevicesofferedinexchange:-Replacementdevicesarerefurbishedandtechnicallyinorder.
-ThedefectivedevicemustbereturnedtoMEYRAGmbHfreeofchargewithin15workingdays.
Thereturneddeviceshallbecomeourproperty.
-Ifthedeviceisnotreturned,weshallcharge95%ofthenewretailpriceforthereplacementdevicedelivered.
-Thereturneddevicemustcorrespondtothetypeanddesignofthedeliveredreplacementdevice.
Moreoverthedevicemustbereusableandmayonlyshowsignsofwearappropriatetonormaluse.
-ItisincumbentuponMEYRAGmbHtoassesswhetherthereturneddevicefulfilstheaforemen-tionedconditions.
Shouldtheconditionsnotbemet,weshallalsochargetheaforementionedamountlesstheresidualvalueofthereturneddeviceforthedeliveredreplacementdevice.
10.
PRODUCTSAFETY10.
1.
PRODUCTRECALLIntheeventofaproductrecallbeingnecessaryonaccountofadefectinthedeliveredgoodsorduetoexistinglegalobligations,thecustomerisobligedtocooperateinimplementingtheproductrecallinordertoenableanefficientexecutionthereof.
Inparticular,thecustomerisobligedintheeventofanecessaryproductrecalltoinformMEYRAGmbHaboutthewhereaboutsofthesubjectsofdeliveryinthefurthersupplychainuptotheendcustomer.
Forthispurpose,thecustomermustmaintainsuitabledocumentationonanon-goingbasisaboutthewhereaboutsofthegoodsandmakethisavailabletoMEYRAGmbHonrequest.
Insofarasthecustomersuppliesthedeliveredgoodstoresellers,thecustomerisobligedtocontractuallyimposeontheresellertheobligationstocooperatespecifiedhereinordertoensuretheexecutionofanefficientproductrecall.

Thecustomerisobligedtoinstructendcustom-ersinthehandlinganduseofthedeliveredproductsbytrainedspecialiststaff.
Insofarasthecustomersuppliesthedeliveredgoodstoresellers,thecustomerisobligedtocontractuallyimposeontheresellerthedutytoinstructinhandlinganduseofthedeliveredproductspecifiedhere.

LIABILITYFORCONSTRUCTIONALMODIFICATIONSAttentionisdrawntothefactthatstricterstatutoryprovisionsapplyinthecaseofMYINDIVIDUAL.
Con-structionalmodificationsofMEYRAGmbHarticlesbythecustomerorathirdpartycommissionedbyhimareonlypermissibleiftheycomplywiththesafetyrequirementsandhavepreviouslybeenconsentedtoinwritingbyourmanagement.
Forthispurpose,amodifiedmodelandadesigndrawingshallbemadeavailabletousonrequest.
Intheeventofcon-structionalchangesbeingmadewithoutthewrittenconsentofourmanagementanddamagearisingtothirdpartiesasaresultofthechangesforwhichweareliableintheexternalrelationship,thecustomerisobligedtoindemnifyusintheinternalrelationshipagainstallclaimsofthethirdparty.

RETURNOFFINISHEDPRODUCTSANDASSEMBLIESGoodsreturnedwithoutanenclosedcopyofthedeliverynoteorinvoicewillnotbeacceptedforreturn.
Goodsreturned(intheiroriginalpackagingandabsolutelyasnew)willbecreditedwith80%ofthenetvalueofthegoods.

ReturnsarenotpossiblewithoutthepriorconsentofMEYRAGmbH.

USEOFPERSONALDATAWeareentitledtostorepersonaldataaboutthecustomerwithinthescopeofthelegalprovisions,inparticulartheGeneralDataProtectionRegulation,andtoprocesssuchdatawithinthecompany.

PLACEOFJURISDICTION,APPLICABLElaw,severabilityclause14.

Unlessexpresslyagreedotherwise,theplaceofperformanceshallbetheregisteredofficeofMEYRAGmbHinKalletal-Kalldorf.
