CMCC UserAgreement

(Version 2009)

PartyA(CMCC Subscriber): PartyB:China Mobi le Group Shanghai Co. , Ltd.Notes:

◆ Party A shal l have ful l capacityforcivi l conduct. PartyAwithoutcapacityforcivi l conduct orwith l imited capacityforcivi l conduct shal l sign upwiththeconsentof its fami ly headand subject to signature confirmation.◆ Before signing of thisAgreement, PartyAor itsagent is requestedtocareful ly read theterms ofthisAgreement,and totimelyconsult if there isanyquestion.

◆ Bysigning thisAgreement,PartyAoritsagentwi l lbedeemed toful lyunderstand and agreetoacceptal l termsofthisAgreement.

◆ For the service needed by Party A, handl ing appl ications and tariff standard, please refer to the relatedstatements on PartyB’s service.

According to the Contract Lawof the People’s Republic of China,Telecom Regulations of the People’s Republic of China aswel lasother relevant lawsand regulations,onthe basisof equal ity, freewi l l , fairness, honest, good faith, in respectofmobi le phonecommunication service,both partiesagree as fol lows:

1 Service and Tariff Standard

1 .1 Party B shal l provide PartyAwith compensatory mobi le communications servicewithin the mobi le phonenetwork coverage under the existing technical conditions; Party B shal l provide Party Awith internationalroaming servicewithinthetelecomoperatornetworkcoverage inthecountryand regionwhere auto roamingagreement is signed.

1 .2 PartyAmay have his/heroptions to accessthe mobi lecommunications serviceofany kind provided by Party

B.

1 .3 Party Bwi l l charge related costs against PartyA according to the tariff standard approved or registered bygovernmental authority, including monthly basic rates, cal l fee(including local , long-distance, roaming),SMSfee (including MMS)andthecharges forotherservicesappl ied fororusedby PartyA.Charge period shal lbenaturalmonth,fromthe 1 stdayofeachmonthtothe lastdayofthecurrentmonth(becauseCDRgenerated bynetworkdeviceand related processing maybedelayed,partial cal l fees ofeach month maybecharged inthecal l feesofthe next month).

2 Party B’sObligations

2.1 The mobi le communications servicesprovided by Party BforPartyAshal l meet the relevant standardsof thestate.

2.2 Party B shal lannounceand prompt to PartyA suchcontents as service item,period, scopeandtariff standardthroughthe service hal l ,websiteandSMS,etc.

2.3 Party B shal l provide Party Awith convenient service handl ing, service consulting and cal l fee informationinquirychannel , including but not l imited to service hal l , service hotl ine, servicewebsite,SMS,etc.

2.4 Party B isobl igated to handle PartyA’s claims byannouncing the supervision phone and othermeans, andreplyto PartyAwithin 1 5 days fromthe date of receiving claims.

2.5 PartyB shall reserve the original CDR data of mobile phone and original data for charging information

service for 5 months (5 months from the month when the system generates CDR,excluding the currentmonth),for the CDR to which the Subscriber objects,shall maintain until settlement ofsuch objection.

2.6 If Party A objects to the cal l fee charged by Party B, Party B shal l be obl igated to make investigation andinterpretation,and inform Party Atoverify the result.

2.7 Party B shal l not infringe upon PartyA’s freedomand privacyofcorrespondence,and shal l haveobl igationtokeepconfidential thecustomerdataof PartyA. Inaccordancewith relevant lawsand regulations, Party Bshal lcooperatewith thework requirements of the publ ic security organ, people's prosecutorial office, nationalsecurity organand otherauthoritieswhich shal l have the right to make investigation according to laws andregulations.

2.8 PartyBundertakestousetheuser informationdataprovided byPartyAforPartyBforthewholecourseofthemobi le communications service, and Party B shal l take confidential ity measures and not disclose, unlessotherwise providedforbythe laws, regulations and governmental regulations.

2.9 Party B shal l provide Party A with free-of-charge commonweal phone access service such as 1 19 (fireemergency), 1 10 (pol ice emergency), 120(medical emergency), 122 (traffic accident emergency)of the cal llocation (only l imited todomestic).

2.10 If PartyAdefaults the fees, ful ly supplements the feeswithinthe time l imit specified andappl ies forstartup,Party B shal l resume the mobi le communications service forPartyAwithin 24 hoursafter receiptof PartyA’sfees.

2. 1 1 Party B shal lgiveapriornoticetoPartyAwho uses “post-paidcommunication service” to suspendthe mobi lecommunications service for PartyA(hereinafter cal led “suspension”); give balance prompt for Party Awhouses “prepaid communicationservice”,bymeans including butnot l imitedtoSMS,phonecal lorwrittenletter.

2.12 If such foreseen reasons as line overhaul, equipment relocation, engineering cut-over, network andsoftware updating mayaffect use byPartyA,a 72-hourpriornoticeshall be given to PartyA,bymeansincluding not limited to SMS,media announcement.

2.13 Where Party A declares mobi le phone communicationobstacle (communication interruption due to switchequipmentor transmission l ine,excluding networkcoverageand terminal equipment fai lures), Party B shal lmake restore the serviceswithin48 hoursafter receiving theclaim.

2.14 Party B shal l enable the serviceswhich PartyAappl ies forwithinthe time l imit committed (unlessagreed byboth parties), in case PartyBfai ls toopentimely,monthly functionfee for such servicefrom thedateof Party

A’sappl icationtoopening of such service shal lbeexemptedor reduced.

3 PartyA’sObl igations

3.1 Party A is required to provide Party Bwith the original of authentic and val id certificatewhen handl ing thesign-up appl ications, if anagent is entrusted, shal l provide theoriginalof theval id identitycertificateof theagent.When Party Awithoutcapacity forcivi l conduct orwith l imited capacity forcivi l conduct handles thesign-up appl ications, its fami ly head shal l provide appropriateguarantee.

3.2 Inaccordancewith relevant provisionson real-name registrationof CMCCSubscribers, PartyA must providethe original of its authentic and val id certificate for registrationwhen handl ing the sign-up appl ications. IfParty B finds that the personal information fi l led by PartyA is inconsistentwith the practical situation, Party Bmay notify PartyAto make timelycorrections.

3.3 If PartyA paysthe fees bythe method of“post-paid”, the fol lowing val idcertificates shal l be providedwhenhandl ing the sign-up appl ications: for individual subscriber, original of val id identity certificate shal l beprovided, if Party A is a minor, and unable to provide the original of val id identity card of the local city,original of household register of the local city may substitute; for corporate subscriber, val id certificateincludes original and copy of the business l icense dupl icate registered in the local city, reference letter(provedwiththeofficial seal),original and copy oftheval id identitycertificateof the handler.

If PartyAisnon-local registered permanent resident,whenhandl ingthesign-upappl ications,maychoosethemeans of paying deposits,and subject to the fol lowing terms:

PartyAshal lpaythedepositsofCNY__________,applyingforsign-upbymeansofdeposits.ThedepositspaidbyPartyA shal l notbeusedas prepaidcal l fees,andwi l l berefunded to PartyAwhen revoking themeansofdeposits. If PartyAdesires to applyfor international roaming/IDD,additionaldepositof CNY1000 shal l bepaid.

3.4 If Party A pays the fees by the means of “prepaid”, the fol lowing val id certificates shal l be provided whenhandl ing the sign-up appl ications: for individual subscriber, original of val id identity certificate shal l beprovided, if Party A is a minor, and unable to provide the original of val id identity card of the local city,original of household register of the local city may substitute; for corporate subscriber, val id certificateincludes original and copy of the business l icense dupl icate registered in the local city, reference letter(provedwiththeofficial seal),original and copy oftheval id identitycertificateofthe handler.

3.5 Party A shal l payto Party B in time and in ful l the mobi le communication feeswithin the time and by themeansasagreedwithPartyB.Withrespecttotheunpaidamountswhenit isoverdue,PartyBwi l l remind PartyAto makepayment bythe meansof SMS,etc. ,fromthe nextday uponexpirationofthe payment period,PartyA shal l payto Party Bthe penalty by 3‰(three per-mi l le)of the unpaid amounts each day; if PartyA fai ls topay off the fees twentydays after the deadl ine, in accordancewith the provisions on paymentof mobi letelecom service fees as specified in Article 35 of the Telecom Regulations of the People’s Republic of China,Party B shal l have the right to take the measures such as outgoing cal ls l imit or suspension. If fees aredefaulted, PartyAshal l not handle otherservicesother than suspension.

3.6 If Party Aobjects tothe mobi le communication feescharged by Party Bor the information fees chargedonbehalf of the information service provider, it shal l express to Party Bwithin five months after the cal l feesoccur to which objection is expressed (five months from the month when CDR generated, excluding thecurrent month).

3.7 Party A shal l complywith the provisions relating to information transmission, if Party A sends SMS ofcommercialsorotherharmful informationviagroup-sending modewithout theconsentofthe receiving party,disturbing the dai ly l ife of the receiving party, Party Bmay suspend or restraint the mobi le communicationservice forPartyA,without taking anyl iabi l ity resulting therefrom.

3.8 Party B has joined the united credit investigation system forpersonal credit of Shanghai Government, andaftersign-up, PartyAagrees tocomplywiththe relevantprovisions of such system.

3.9 Where Party A requires for termination of mobi le communication service, it shal l handle the sign-offappl ications aftersettl ing al l fees.

4 Responsibi l ities inSpecificConditions

4.1 Party B shal l havethe right to suspendor restraint the mobi le communication service forPartyAandwi l l notbe l iable for the lossesof PartyAarising therefrom, inthe event:

4.1 .1 Deduction fai lswhen Party B settles for the reasons not attributable to Party B such as attachment,freezing or insufficient balanceof PartyA’s bankaccount;

4.1 .2 PartyAfai ls totimelysupplement the accountsafter the prepaid feesare used up(including,balanceof prepaidaccount is insufficient fordeductionof the fol lowingprepaid fees);

4.1 .3 Mobi le cal l fees exceedthe overdraftwhen PartyAadopts the settlementway of“post-paid”;

4.1 .4 The communicationfees 5 times more thantheaveragecommunicationfeesof thepast three monthssuddenly occur to PartyA(based on the information on communication fees immediately received by

Party B),and is notified byParty Bbytelephone,SMS,etc. ;

4.1 .5 PartyA sendsthe information inwhich i l legal contentsare contained.

4.2 In casethe mobi le phone numberunder the name of PartyA is not ful ly paidwhen it isoverdue, Party B shal lhavethe right to refuse otherappl ications formobi lecommunication servicesbyPartyAother than paymentand cal l fee inquiry.

4.3 Where PartyA defaults the fees, Party B shal l have the right to demand the payment of defaulted fees by aletter,announcementand entrustmentofthe third partyand soon.

4.4 PartyA shal l properly storethe dataonoriginal bi l lsaftersign-up, suchasdeposit note,and Party Bwi l l notbe l iable for losing.

4.5 Party A mayobtain the subscriber service password after sign-up, and shal l properly store such password.Service password is the voucher for handl ing the service. Service customization or change by the servicepasswordwi l lbedeemedtobedoneorauthorized byPartyA. Inordertomakeitconvenient forservice,PartyB may provide random service password bySMS,etc.according to PartyA’s appl ication,and such passwordmaybe deemed asthe temporaryvoucherforhandl ing the service.

4.6 In caseof i l legal use of mobi le phone byothers for the reasons suchas improperstoragebyPartyA, PartyAshal l timely handle the suspension appl ications, and report to the publ ic security department. Party B shal ltechnical lyassist the publ ic securitydepartment inthe investigation,providedthat Party Bwi l l not be l iablefor the harmful consequencescausedto PartyA.

4.7 PartyBwi l lnotbe l iableforthe harmful consequencescausedtoPartyAbyPartyB’sfai luretoprovideservice(suchas CDR,etc.) to PartyAduetofai lure byPartyAto providedetai ledandtruesubscriberdataorto notifyParty B in case of change. Party B shal lonly provide PartyAwiththe bi l l mai l ing servicewithinthe range ofShanghai city.

4.8 Party A shal l control the cal l fees according to its capacity, in case of abnormal communication fees(communicationfees 5 timesmore thantheaverage communicationfeesof the past three months), PartyBshal l inform PartyAas fastas possible, if PartyA sti l l fai ls to makeconfirmation after informed, Party B maytake measures to suspend partialoral l mobi le communication services, unti l PartyA paysthe fees incurred.

4.9 PartyA shal l beentitledtothe right touse the mobi le phone numberwithintheval idity period of the mobi lephone number if paying the fees by “prepaid”. If the val idity period expires or the account balance isinsufficient, timely rechargewi l l extend theval idity period; in case of fai lureof timely recharge, the mobi lephone numberwi l l enter the retentionperiod, if PartyAfai ls totimely rechargewithinthe retentionperiod,communication can notwork, if Party A timely recharges, the retention period wi l l end automatical ly, andcommunicationwi l l be recovered. If the retention period expires, the mobi le phone numberwi l l enter themobi le phone number retention period, communication can notwork during such period, and Party B shal lhavethe right to deduct the mobi le phone number retentionfee fromthe account balance of PartyA bythecharging standardasCNY0.1 5/day,unti l thebalance isused up, then PartyBshal l havethe right towithdrawthemobi lephone numberandput intoserviceagain;duringthemobi lephonenumber retentionperiod,PartyA maytimely recharge to activate the mobi le phone numberand obtain the val idity period of the mobi lephone numberagain.

4.10 If PartyAhasobjectiontothecal l feescharged by PartyB, itmaycomplainto PartyB,and Party Bisobl igatedto make investigation or interpretation. If Party B indeed has error in the servicechargeof any kind (includingmobi le information servicecharge), Party B undertakestorefund tothe subscriber the doubleof thepositivedifferenceafter the cal l feeswronglycharged minus the cal l fees receivable.

4.1 1 Neitherpartywi l lbe l iable fortheother in caseof fai lureof partialorful lperformanceofthisAgreementduetotheforcemajeure(includingwithout l imitation,earthquake,mountaintorrents, l ightningand othernaturaldisaster,electromagnetic interference,warand rebel l ion,governmental acts,etc.).

4.12 Eitherpartyshal l be l iableforcompensationfor the lossesoftheotherpartyarising fromthe default by suchparty, however, the expected profits or interests not real ized of theotherparty, lossof commercial goodwi l l ,

lossof data, lossof the third partyand other indirect lossesare excluded fromthe scopeof responsibi l itiesassumed byeitherpartyfor the damages.

5 Amendment,Assignment and Termination

5.1 The forms signed byPartyAforhandl ing the serviceofanykind andthe servicecommitmentspubl icly madeby Party B inwriting such asannouncement shal l be the supplementary agreement tothis Agreement, theparts confl icting with this Agreement shal l be based on the supplementary agreement, and those notspecified inthe supplementaryagreement shal l be basedonthisAgreement.

5.2 AfterPartyAassigns (transfers) the rightsand obl igations under theAgreement tothethird party, the thirdparty and Party B wi l l sign a new mobi le communication service agreement, and this Agreement wi l lautomatical lyterminatewhenthe transferorand the transferee are presentand payoff the communicationfees of which bi l ls are issued. Party A shal l be l iable for the defaulting fees and suspension and otherconsequences resulting from privateassignment by PartyA.

5.3 In caseof fai lureof continualperformanceof mobi lecommunication service resulting fromoveral l evolutionof mobi le communication network conducted by Party B in order to improve service qual ity as a result oftechnical evolution, Party Bshal l notify PartyAat least 90 days in advance,and provide reasonable solutions.

5.4 In any of the fol lowingcases, Party B shal l have the right to terminate theAgreement,withdraw the mobi lephone numberand terminate provisionof the service, notbe l iable for the lossof PartyAarising therefrom,and have the right todemandthe defaulted feesagainst PartyA:

5.4.1 The val id certificate provided by PartyA(including agent) is false;

5.4.2 Themobi lephone is usedtocarryout i l legalcriminalactivitiesorforimproperpurpose(damagingtheinterestsof Party Bor thethird partyconcerned);

5.4.3 Party B is required toterminatethe mobi lecommunication service forPartyA incompl iancewithstateregulations;

5.4.4 PartyA fai ls tomakepayment if 90daysareoverdue;

5.4.5 If Party A pays the fees by methodof “prepaid”,mobi le phone number retention period expires andthere is no balance inthe account.

5.5 Whenthe statutorytermination conditions orstipulatedtermination conditions are satisfied, thisAgreementwi l l terminate. Party Bwi l l continue to reserve the right to demand the defaulted fees against PartyA, andshal l have the right towithdrawthe mobi le phone numberand put it into serviceagain.

6 Miscellenous

6.1 Party A may voluntari ly subscribe or revoke the value-added telecom appl ication service provided by theinformation service provider through Party B’s mobi le communication network platform.

6.2 If PartyAcustomizes, receivesand sendsal l information providedbythe information service providerwhichhavecooperation relationshipwith Party Bthrough Party B’s mobi le communication network, PartyA agreesthat Party B may charge Party A the information fee on behalf with the authorization by the informationservice provider.

6.3 The tariff standard for Party A’s use of the value-added telecom appl ication service provided by theinformation service providershal l be announced bythe information service provider. If PartyAobjectstothecharged service fees, it may settle with the information service provider through negotiation under theassistanceof Party B.

6.4 Anyandal ldisputesarising hereundermay be settled by both parties through negotiation, if no settlementcan be reached through negotiation, both parties may appeal tothe telecom managementdepartment orcomplaintothe relevantdepartments suchasconsumersassociation,orsettleby legal means.

6.5 ThisAgreement is madeout indupl icatewith each party holdingone respectively,and each copy shal l have

equal effect in law.ThisAgreement shal l come intoforceafteraffixedwiththespecialbusiness seal , seals ofthe service hal land sales of Party B, sealed orsigned by PartyA subscriber.The matters not covered hereinshal l be settled byboth parties through negotiation.

The Engl ish interpretation only serves as the Engl ish translation of the Chinese version of theagreement provided by our company,which are consistent in contents. In case of discrepancy inunderstanding due totranslation, the Chinese version shal l prevai l.
