XYZCOMPANYINDEPENDENTCONTRACTORAGREEMENTFORCONSULTINGSERVICESTHISINDEPENDENTCONTRACTORAGREEMENTFORCONSULTINGSERVICES(this"Agreement")ismadeandenteredintoasofthe___dayofbyandbetweenXYZCOMPANY,acorporationwithitsprincipalplaceofbusinessatCompany")andanindividualresidentwhoseaddressis("IndependentContractor"),withreferencetothefollowingfacts:A.
TheCompanyisacorporationengagedinthebusinessofplanning,constructingandoperatinginternetwebpages.
B.
InordertoinduceIndependentContractortoperformservicesforCompany,theCompanyiswillingtoenterintothisAgreement.
TheCompanywouldbeunwillingtoutilizetheservicesofIndependentContractorintheabsenceofthecovenantsofIndependentContractorcontainedherein.
C.
ThisAgreementmemorializestheoralunderstandingreachedbetweenthepartiesasofthedatehereof.
NOW,THEREFORE,inconsiderationofthemutualcovenantsandconditionssetforthherein,thepartiesheretoagreeasfollows:1.
PerformanceofServices.
IndependentContractorherebyagreestoperformservicesfortheCompanyinthecapacityofaconsultantcommencingonthedatehereofandcontinuinguntilthisAgreementisterminatedpursuanttoSection4hereof;(the"ConsultingTerm").
IndependentContractor'sprimarydutiesandresponsibilitieshereundershallbetoprovidecomputerprogrammingconsultingserviceswithrespecttoCompany'splanning,constructionandoperationofinternetwebpages.

Compensation.

1TheCompanyagreestocompensateIndependentContractorattherateofpermonthpayableinbi-weeklyinstallmentsofduringthetermofthisAgreement.

PerformanceofDuties.

1Inconsiderationofthepaymentstobemadehereunder,IndependentContractoragreestodevotesufficienttimeandeffortstotheperformanceofhisdutieshereunderandtoservetheCompanydiligentlyandtothebestofhisabilities.
Notwithstandingtheforegoing,innoeventshallIndependentContractorberequiredtodevotemorethanfifty-onepercent(51%)ofhisworkingtime.
ItisunderstoodthatIndependentContractorhastherighttodevotetheremainderofhistimeandeffortstowhateverprojectshedetermines,whetherornottheyarecompetitivewiththeprojectsoftheCompany,providedthatIndependentContractordoesnotbreachhisobligationshereunder,including,withoutlimitation,theprovisionsofSection5hereof.

2ThepartiesheretoagreeandacknowledgethatIndependentContractorshallhavefullcontrolover,andresponsibilitiesfor,themannerandmeansbywhichheperformshisdutieshereunderandthattheCompanyshallsuperviseonlytheoverallperformanceofsuchduties.
ItisunderstoodandagreedthattheIndependentContractorcanperformhisdutieshereunderatanycommerciallyreasonablelocationincludinghispersonalresidence.
IndependentContractorunderstandsthatasanon-employeeheisormayberesponsibleforthepaymentofestimatedtaxesandself-employmenttaxwithrespecttohisamountsearnedhereunder,andthatnotaxeswillbewithheldbytheCompanyuponsuchamounts.
IndependentContractorherebyagreestoindemnifytheCompanyagainstanyandallclaimsduetoCompany'sfailuretowithholdanyamountspaidtoIndependentContractorhereunderforfederalandstateincometaxpurposes.

Termination.

1ThisAgreementcanbeterminatedbyeitherpartyatanytimeuponfourteen(14)dayspriorwrittennotice,withorwithoutcauseofanynature.

2ThisAgreementcanbeterminatedbytheCompanyatanytimeonwrittennoticetoIndependentContractorifthereisreasonablecausetherefore.

3ForpurposesofthisSection4,theterm"reasonablecause"shallmean(i)thewillfulmisconductorbadfaithofIndependentContractorwithrespecttotheperformanceofhisdutiesunderthisAgreement;(ii)therepeatedmaterialfailureofIndependentContractortoperformdutiesreasonablyrequiredofhimbytheCompany;(iii)IndependentContractor'sbreachoftheprovisionsofSection5ofthisAgreementpertainingtothenon-competitionoftheIndependentContractorduringtheConsultingTermandconfidentiality;or(iv)thecommencementofany3proceedingagainstIndependentContractorforthecommissionofafelony.
Furpurposesoftheforegoing,breachesorfailuresshallbedeemed"repeated"iftwo(2)separatebreachesoccurwithinanysix(6)monthperiodorifanycontinuousoron-goingbreachisnotcuredwithinone(1)monthofnoticetoIndependentContractorduringtheConsultingTerm.

4ThisAgreementshallautomaticallyterminate,withoutnotice,uponthedeathorpermanentdisabilityofIndependentContractor.

ConfidentialInformation.

1ForpurposesofthisAgreement,"ConfidentialInformation"shallmeananyinformationormaterialproprietarytotheCompanyordesignatedasConfidentialinformationbytheCompanyandnotgenerallyknownbynon-Companypersonnel,whichIndependentContractormayobtainknowledgeoforaccesstoasaresultofIndependentContractor'srelationshipwiththeCompany.
TheConfidentialInformationincludes,butisnotlimitedto,thefollowingtypesofinformationandotherinformationofasimilarnature(whetherornotreducedtowritingorplacedinanytangiblemediumofexpression):discoveries,ideas,concepts,softwareinvariousstagesofdevelopment,designs,drawings,specifications,techniques,models,data,documentation,diagrams,flowcharts,research,development,processes,procedures,"know-how",marketingtechniquesandmaterials,marketinganddevelopmentplans,customernamesandotherinformationrelatedtocustomers,pricelists,pricingpolicies,financialinformationandemployeefiles.
ConfidentialInformationalsoincludesanyinformationdescribedabovewhichtheCompanyobtainsfromanotherpartyandwhichtheCompanytreatsasproprietaryordesignatesasConfidentialInformation,whetherornotownedordevelopedbytheCompany.
INFORMATIONPUBLICLYKNOWNTHATISGENERALLYEMPLOYEDBYTHETRADEATORAFTERTHETIMEINDEPENDENTCONTRACTORFIRSTLEARNSOFSUCHINFORMATION,ORGENERICINFORMATIONORKNOWLEDGEWHICHINDEPENDENTCONTRACTORWOULDHAVELEARNEDINTHECOURSEOFSIMILAREMPLOYMENTORWORKELSEWHEREINTHETRADE,SHALLNOTBEDEEMEDPARTOFTHECONFIDENTIALINFORMATION.

2IndependentContractoragreesthatIndependentContractorshallholdinconfidenceandshallnotatanytimeduringorafterIndependentContractor'semploymentwiththeCompany(i)directlyorindirectlyreveal,report,publish,disclose,ortransfertheConfidentialInformationoranypartthereoftoanypersonorentity,(ii)useanyoftheConfidentialInformationoranypartthereofforanypurposeotherthaninthe4courseofIndependentContractor'sworkfortheCompany,or(iii)assistanypersonorentityotherthantheCompanytosecureanybenefitfromtheConfidentialInformationoranypartthereoftosolicitbusinessfromorprovideservicesorproductsofanytypetoanyoftheCompany'scustomersor(iv)solicit(onIndependentcontractor'sbehalforonbehalfofanythirdparty)anyotheremployeeoftheCompanyfortheprovisionofanyservicesorproductswhichIndependentContractorisprohibitedfromprovidinghereunder.

3IndependentContractorshallnotduringtheConsultingTermoratanytimeduringtheperiodofeighteen(18)monthsimmediatelyaftertheendoftheConsultingTerm,directlyorindirectlysolicit,interferewith,orenticeawayfromtheCompany,anycustomer,licensee,licensor,distributor,representative,employeeorsourceofsupplyoftheCompany.
6.
Indemnity.
IndependentContractoragreestoindemnifyCompanyfromandagainstanyandall"damage"(asdefinedherein)incurredbyCompanyinconnectionwiththetransactionscontemplatedbythisAgreement.
"Damage"willmeananyandalldamages,losses,liabilities,judgments,fines,penalties,costs,andexpenses(includingreasonableattorneyfeesandcourtcosts)atanytimeincurredbyCompanybyreasonoforarisingourofanyofthefollowing:a.
Thenonperformanceofanycovenant,agreement,orobligationof,ormisrepresentationby,IndependentContractorcontainedinthisAgreement.
b.
Theunauthorizeduseofanydesigns,drawings,specifications,techniques,orotherproprietaryinformationorpropertybyIndependentContractorinconnectionwithhisperformanceofdutieshereunder.
7.
SurrenderofBooksandRecords.
Allnotes,data,referencematerials,drawings,sketches,memoranda,documentationandrecordsinanywayincorporatingorreflectinganyoftheConfidentialInformationandallproprietaryrightstherein,shall,asbetweentheCompanyandIndependentContractor,belongtotheCompany,andIndependentContractoragreestoturnoverallcopiesofsuchmaterialsinIndependentContractor'scontroltotheCompanyuponrequestoruponterminationofIndependentContractor'semploymentwiththe5Company.
8.
Notices.
Anynotice,request,orothercommunicationrequiredtobegivenpursuanttotheprovisionsofthisAgreementshallbeinwritingandshallbedeemedtobedulygivenifdeliveredinpersonormailedbyregisteredorcertifiedUnitedStatesmail,postageprepaid,andmailedtothepartiesattheaddressesfirstaboveindicated.
ThepartiesheretomaychangetheaboveaddressesfromtimetotimebygivingnoticethereoftoeachotherinconformitywiththisSection8.
9.
Construction.
ThisAgreementshallbegovernedby,andconstruedinaccordancewith,thelawsoftheStateofCalifornia.
10.
Captions.
ThesectionheadingsandcaptionscontainedhereinareforreferencepurposesonlyandshallnotinanywayaffectthemeaningorinterpretationofthisAgreement.
11.
Severability.
IfanyprovisionofthisAgreementshallbeunlawful,void,orforanyreason,unenforceable,itshallbedeemedstrickenfrom,andshallinnowayaffectthevalidityorenforceabilityof,theremainingprovisionsofthisAgreement.
Similarly,ifanyprovisionofthisAgreementshallbedetermined,underapplicablelaw,tobeoverlybroadinduration,geographicalcoverageorsubstantivescope,suchprovisionshallbedeemednarrowedtothebroadesttermpermittedbyapplicablelaw.
12.
Waiver.
ThewaiverbyeitherpartyheretoofabreachofanyprovisionofthisAgreementbytheothershallnotoperateorbeconstruedasawaiverofanysubsequentbreachofthesameprovisionoranyotherprovisionofthisAgreement.
13.
EntireAgreement.
ThisAgreementrepresentstheentireagreementandunderstandingbetweenthepartiesheretoregardingIndependentContractor'semploymentwiththeCompany,andsupersedesanyandallpreviouswrittenororalagreementsordiscussionsbetweenthe6partiesandanyotherpersonorlegalentityconcerningsaidemployment.
14.
BindingAgreement.
TherightsandobligationsoftheCompanyunderthisAgreementshallinuretothebenefitofandshallbebindinguponthesuccessorsandassignsoftheCompany.
ItisexpresslycontemplatedandagreedthattheCompanymayassignthisAgreementtoawholly-ownedsubsidiaryoftheCompany.
15.
Counterparts.
ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
16.
Amendments.
ThisAgreementshallnotbemodified,amended,orinanywayalteredexceptbyaninstrumentinwritingandsignedbybothofthepartieshereto.
17.
Arbitration;Attorneys=Fees.
AnyclaimorcontroversyarisingoutoforrelatingtothisAgreementwillbedeterminedandsettledbyArbitrationinCounty,accordingtotheArbitrationStatutesapplicableforthatlocalityatthattime.
Thepartiesagreethearbitratorshallhavethepowertoissueinjunctiverelief.
IfanylegalactionoranyarbitrationorotherproceedingisbroughtfortheenforcementofthisAgreement,orbecauseofanallegeddispute,breach,default,ormisrepresentationinconnectionwithanyoftheprovisionsofthisAgreement,thesuccessfulorprevailingpartyshallbeentitledtorecoverreasonableattorneys=feesandothercostsincurredinthatactionorproceeding,inadditiontoanyotherrelieftowhichitortheymaybeentitled.
INWITNESSWHEREOF,theundersignedhaveexecutedthisAgreementtobeeffectiveasofthedatefirstwrittenabove.
