Caution:Thesetermsandconditionsshallbeappliedtoanyagreement(the"Agreement")betweenCybozu,Inc.
("Cybozu")andanyandallcompanies,organizationsandotherlegalentities(the"Customer")whowishtotryoutanySoftware(the"Software")providedbyCybozu.
Thesetermsandconditionsshallbelegalbinding.
IfyouinstalltheSoftware,youshallbedeemedtoagreetoenteredintotheAgreementconcerningtheSoftwareandshallbeboundbythesetermsandconditions.
TheSoftwareshallbeprotectedbyanyacts,laws,regulations,rules,andtreatiesinrelationtocopyrightandotherintellectualpropertyrights.
ItshouldbenotedthatCybozudoesnotsell,transfer,orassignanyrightconcerningtheSoftwarebutlicensestheSoftwaretotheCustomer.
TheSoftwaremaycontainprograms,thecopyrightofwhichisownedbyathirdparty,insteadofCybozu.
Thesetermsandconditionsshallnotapplytosuchprograms.

1.
ScopeofTrialCybozugrantsthefollowingrightstotheCustomer:(1)OnlytheregisterwhohavebeenappointedbytheCustomerasausertotryoutoruse"theSoftware"arepermittedtoinstallandusetheSoftware.
Theregister(s)meansapersonorpersonswhoareregisteredasauserorusersusingtheSoftwareortheservicetheCustomermayaccess("theTargetsoftware").
However,theCustomerconformeachuserwhousestheSoftwareto"theAgreement".
(2)IfyouusetheSoftware,youshallbedeemedtoagreetoenteredintotheagreementconcerningtheTargetSoftwareandshallbeboundbythesetermsandconditions.
Andifyouuse"CybozuRemoteService"toaccess"theTargetSoftware"mayrequirethepurchaseofalicenseotherthanthesoftware's.
2.
OtherRightsandLimitations(1)TheCustomermayduplicatetheSoftwaresolelyforthepurposeofbackingup,provided,however,thatCustomermaynottryout,use,orrunsuchbackupoftheSoftwareonanycomputer,whetherownedbytheCustomerornot,exceptforthecasewheretheCustomerfixesthedataoriginallyinstalled.
(2)TheCustomerisnotallowedtoduplicate,distribute,transmit(includingtopostonawebsiteand/oranyotheracttohavetheSoftwareaccessiblefromthepublic),lease,pledgetheSoftwareexceptforthepurposeofbackingup.
Inaddition,theCustomermaynotassign,transferorsublicensetherighttouseortryouttheSoftwaretoanythirdparty.
(3)TheCustomerisnotallowedtomodify,translate,reverseengineer,reversecompile,reverseassembleormakeanysoftwarederivedfromtheSoftware.
Inaddition,theCustomermaynotuseanypartorcomponentoftheSoftwareapartfromtheotherpartsandcomponentsthereof.
3.
Termination(1)IntheeventofanybreachofthesetermsandconditionsbytheCustomer,CybozumayterminatetheAgreementwithimmediateeffectandwithoutanynotification.
(2)OncetheAgreementisterminated,theCustomershallbeobligedtocompletelydeletetheSoftware,anycomponentsthereof,anydocumentsrelatingthereto,andanyandallreproductionsthereoffromthecomputer(s)andceasetouseand/ortryouttheSoftware.
(3)InnoeventshallCybozuberesponsibleforanydamagesandlossesincurredbytheCustomerand/oranythirdpartyduetotheinaccessibilitytotheSoftware,oranypartthereof,causedbytheterminationoftheAgreement.
4.
LIMITATIONSOFWARRANTY(1)EXCEPTASSPECIFICALLYPROVIDEDHEREIN,CYBOZUMAKESNO,ANDHEREBYSPECIFICALLYDISCLAIMSANY,WARRANTYTOTHECUSTOMERORANYOTHERPERSONORENTITYCONCERNINGTHESOFTWARE,WHETHEREXPRESSORIMPLIED,INCLUDING,BUTNOTLIMITEDTO,THEIMPLIEDWARRANTIESOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,COMPLETENESS,USE,ACCURACY,TITLEORNONINFRINGEMENT.
INADDITION,EXCEPTASSPECIFICALLYPROVIDEDHEREIN,CYBOZUMAKESNO,ANDHEREBYSPECIFICALLYDISCLAIMSANYWARRANTYTHATTHESOFTWAREWILLMEETTHECUSTOMER'SREQUIREMENTS,ORTHATTHECUSTOMER'SUSEOFTHESOFTWARESYSTEMWILLBEUNINTERRUPTED,TIMELY,SECUREORERRORFREE;NOR,EXCEPTASSPECIFICALLYPROVIDEDHEREIN,DOESCYBOZUMAKEANYWARRANTY,ANDCYBOZUSPECIFICALLYDISCLAIMSALLWARRANTY,ASTOTHERESULTSTHATMAYBEOBTAINEDFROMTHEUSEOFTHESOFTWARETHATDEFECTSORERRORSINTHESOFTWAREWILLBECORRECTEDORTHATTHESOFTWAREWILLBECOMPATIBLEWITHTHECUSTOMER'SHARDWARE,SOFTWAREORNETWORKOPERATINGENVIRONMENT.
(2)Cybozumaychange,suspendordiscontinue,withoutobtainingpriorconsentoftheCustomer,anyfunctionsand/oroperationsoftheSoftware,and/oranyservicesaccompaniedwiththeSoftware.
InnoeventshallCybozuguaranteetocontinuetoprovidetheCustomerwiththefunctions,operationsandenvironmentoftheSoftwareequivalenttothoseatthetimeoftheexecutionofthisAgreement.
(3)Inaddition,anyoralorwritteninformationoradviceprovidedbyCybozushallnotconstituteanyadditionalwarrantyorexpansionofanywarrantyhereunderinanysense.
5.
LIMITATIONSOFLIABILITY(1)TheCustomerherebyconfirmsandagreesthattheCustomershallassumefullresponsibilityforanyandalldamages,directorindirect,liabilitiesand/orrisks,includinglossofdata,serverdown,interruptionofbusinessoperations,complaintsandclaimsmadebyathirdparty,arisingfromanyuseoftheSoftware.
(2)UNDERNOCIRCUMSTANCESWILLCYBOZU,ANYPROVIDERAND/ORRESELLEROFTHESOFTWARE,AND/ORANYPROVIDEROFTHECONTENTSINRELATIONTOTHESOFTWARE(COLLECTIVELYTHE"AFFILIATES"),BELIABLEFORANYDAMAGESANDLOSSES,INCLUDINGBUTNOTLIMITEDTOCONSEQUENTIAL,INDIRECT,SPECIAL,PUNITIVEORINCIDENTALDAMAGESORLOSTPROFITS,WHETHERFORESEEABLEORUNFORESEEABLE,EVENIFCYBOZUAND/ORTHEAFFLIATESHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES(INCLUDING,BUTNOTLIMITEDTO,CLAIMSFORLOSSOFDATA,GOODWILL,USEOFTHESOFTWARE,INTERRUPTIONINUSEORAVAILABILITYOFDATA,STOPPAGEOFOTHERWORKORIMPAIRMENTOFOTHERASSETS),ARISINGOUTOFBREACHORFAILUREOFEXPRESSORIMPLIEDWARRANTYORCONDITION,BREACHOFCONTRACT,MISREPRESENTATION,NEGLIGENCE,STRICTLIABILITYINTORT,OROTHERWISE.
FURTHERMORE,CYBOZUSHALLNEVERBERESPONSIBLEFORANYCOMPLAINTSANDCLAIMAFROMANYTHIRDPARTY.

Copyright,etc.
(1)Cybozu,and/oranysuppliersthereto,retainanyandallrights,titlesandinterests,includingcopyrightsandotherintellectualpropertyrights,inandtotheSoftware,includingHTMLprogramandscreendisplaythereof,andanyfiles,documentsanddrawingsinrelationthereto.
(2)TheSoftwareshallbeprotectedbyanyacts,laws,regulations,rules,andtreatiesinrelationtocopyrightandotherintellectualpropertyrights.
Therefore,theCustomershallbeobligedtohandletheSoftwarecomplyingwithsuchacts,laws,regulations,rules,andtreaties.
(3)Theprovidersofthecontents,towhichtheCustomermayaccessfromorthroughtheSoftware,retainanyandallrights,titlesandinterests,includingcopyrightsandotherintellectualpropertyrights,inandtosuchcontents.
Suchcontentsshallbeprotectedbyanyacts,laws,regulations,rules,andtreatiesinrelationtocopyrightandotherintellectualpropertyrights.
7.
GoverningLawandMiscellaneousRules(1)TheAgreementshallbegovernedbythelawsofJapanwithoutgivingeffecttoanyprinciplesofconflictsoflaws.
(2)RegardingtheAgreementortheSoftwarebasedontradeinJapan,alldisputes,controversiesordifferenceswhichmayarisebetweenthepartiesshallbefinallysettledbyadistrictcourtinTokyoasthecourtoffirstinstance.
Inaddition,regardingtheAgreementortheSoftwarebasedonoverseastrade,alldisputes,controversiesordifferenceswhichmayarisebetweenthepartiesshallbefinallysettledbyarbitrationinTokyo,inaccordancewiththeCommercialArbitrationRulesofTheJapanCommercialArbitrationAssociation.
8.
MiscellaneousIntheeventanytermsandconditionsdifferentfromthosetermsandconditionsareattachedtotheSoftwareobtainedbytheCustomer,thesetermsandconditionsshallsupersedetheattachedtermsandconditions,unlessCybozuclearlystatesotherwise.
Thesetermsandconditionscontainstheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallpriorandcontemporaneousagreements,writings,statementsandunderstandingsbetweenthepartieswithrespectthereto.
TheAgreementmaybeamended,supplementedormodifiedonlybyawritteninstrumentdulyexecutedbyeachofthepartieshereto.
Inaddition,anytermsandconditionsindicatedinordersheetsrenderedbyadealertotheCustomer,ifany,shallbenullandvoidbetweenthepartiesheretoandmakenoeffectstotheAgreement.
IfeffectivenessofanyprovisionofthisAgreementisrestricted,suchprovisionsshallbevalidtotheextentpermittedbytheappliedlawsandregulations.
IfanyprovisionsofthisAgreementisdeclaredinvalidorunenforceablebyanylawfultribunal,thenitshallbeadjustedtoconformtolegalrequirementsofthattribunalandthatmodificationshallautomaticallybecomeapartofthisAgreement,orifnoadjustmentcanbemade,theprovisionshallbedeletedasthoughneverincludedinthisAgreementandtheremainingprovisionsofthisAgreementshallremaininfullforceandeffectunlesssuchinvalidityorunenforceabilitycausessubstantialdeviationfromtheunderlyingintentofthepartiesexpressedinthisAgreement.
Insuchcase,thepartiesshallreplacetheinvalidorunenforceableprovisionwithavalidorenforceableprovisionwhichcorrespondsasfaraspossibletothespiritandpurposeoftheinvalidorunenforceableprovision.
