General1本联盟的中文名称为"国际中文语言资源联盟";英文名称为ChineseCorpusConsortium,简称CCC.
TheChinesenameofthisconsortiumis"国际中文语言资源联盟",whiletheEnglishnameistheChineseCorpusConsortium,abbreviatedasCCC.
2CCC是中文语音和语言数据资源建设及其应用的全球科技机构和公司自愿组成、不以盈利为目的、公益性学术联盟.
本章程中的科研机构指大学、学院、学校、研究所等以科学研究为目的且不隶属于任何企业的机构;本章程中的公司包括各种公司、企业,及其所属的各种子机构,包括以科研为目的的子机构.
CCCisanon-profit,academicconsortiumformedvoluntarilybyinternationalcompaniesandscientificresearchinstitutesinterestedintheconstructionandapplicationofChinesespeechandlinguisticcorpusresources.
Hereinafter,Companyreferstoanycompany,corporation,incorporation,orenterprise,aswellastheirsubsidiaryunit(s)includingthoseforresearchanddevelopment;whileInstitutereferstoanyuniversity,college,school,institute,oranyotherscientificresearchorganizationnotbelongingtoanyCompany,aswellastheirsubsidiaryunit(s).
3CCC的宗旨是:-ThepurposeofCCCincludes:-3.
1搜集整合现有中文语音和语言数据库,以及创建新的语音及语言数据.
CollectingandintegratingexistingChinesespeechandlinguisticcorpusresources,andcontinuingcreationofnewsuchresources.

2整合现有的涉及中文语音和语言数据库资源的创建、标注、分析工具,提高工具实用性,以及开发新的工具.
Integratingexistingtoolsforthecreation,transcription,andanalysisofChinesespeechandlinguisticcorpusresources,improvingtheirusability,andcreatingnewtools.

3搜集、整理和介绍有关中文语音和语言的规范和标准.

第二章发起单位及其权利和责任ChapterII.
Co-FoundersandTheirRightsandObligations4CCC由以下研究机构和企业(统称"发起单位")发起:-CCCisco-foundedbythefollowingCompaniesandInstitutes(theCo-Founders):-4.

5发起单位的责任:-EachCo-Founderhasthefollowingobligations:-5.
1在本章程生效后30天内必须向CCC提供至少一个数据库(发起单位承诺向CCC贡献的数据库列表见一)作为CCC的第一批数据资源.
Withinthirty(30)daysoftheeffectivedateofthisconstitution,eachCo-FoundershouldcontributetoCCCatleastonecorpus(aslistedinAppendixI)toformthe3firstbatchofCCCcorpora.

2参加第一批数据资源的整理和评估.
EachCo-FoundershouldparticipateinorganizingandevaluatingthefirstbatchofCCCcorpora.

3授权给其他发起单位,无偿地拥有及使用授权人提供的数据库一份拷贝,但仅限于研究及非商业目的;承诺其他发起单位有权以一定优惠折扣(见二"发起单位之间的折扣")购买发起单位贡献给CCC的数据库以用于商业目的.
EachCo-FoundershouldgrantpermissionstoallotherCo-FounderstoownacopyoftheformerCo-Founder'scontributedcorpusorcorporafreeofchargefornon-commercialresearchpurposes.
Furthermore,eachCo-FoundershouldentitleallotherCo-FounderstherighttopurchaseacopyoftheformerCo-Founder'scontributedcorpusorcorporaatasetdiscount(see"DiscountforCo-Founders"inAppendixII)forcommercialdevelopment.

4积极推广CCC的章程和数据资源,负责征集在发起单位地区的数据资源.
EachCo-Foundershouldactivelypromotetheconsortiumanditsresources,andberesponsibleforthecollectionofadditionaldataresourcesinitsowngeographicalarea.

5积极发展在发起单位地区或其他地区的机构或公司成为CCC的会员.
EachCo-FoundershouldactivelyrecruitnewCCCmembersfromCompaniesorInstituteseitherinitsowngeographicalareaorfromothergeographicalareas.

6选举CCC理事会的理事长.
EachCo-FoundershouldparticipateintheelectionofthechairoftheCCCcouncil.
6发起单位的权利:-EachCo-Founderhasthefollowingrights:-6.
1参与制定和修改CCC章程.
EachCo-FounderhastherighttoparticipateindraftingandrevisingtheCCCconstitution.

2对在第23款中所述的CCC的任何一个数据库,发起单位都会获得该数据库的使用授权,但只限于研究及非商业目的;并有权以一定优惠折扣(见二"发起单位之间的折扣")购买用于商业目的的拷贝.
为此任何一个在第23款中所述的CCC数据库的拥有者(发起单位、CCC,或高级会员)必须承诺该项授权.
ForeachcorpusintheCCCcoveredbyArticle23coveredbyArticle23,each4Co-Founderhastherighttoownacopyfreeofchargefornon-commercialresearchpurposes,andtobuyacopyatadiscount(see"DiscountforCo-Founders"inAppendixII)forcommercialpurposes.
Thereforetheowner(aCo-Founder,theCCC,oraCCCseniormember)ofeachCCCcorpuscoveredbyArticle23shouldauthorizesucharight.

3对CCC全资新创建的任何一个新的数据库,发起单位全体共同拥有其知识产权,任何发起单位都拥有该数据库的商用使用权,但该数据库的销售权和发布权仅由CCC拥有.
AllCo-Founderswilljointlyowntheintellectualpropertyrights(IPR)ofeachnewlycreatedCCCcorpusnewlycreatedandfullyfundedbytheCCC,includingtherighttouseitfornon-commercialresearchandcommercialpurposes.
SalesanddistributionrightsforsuchcorporaareretainedbytheCCCalone.
6.
4其代表被选举为理事长.
EachCo-FounderhastherightforitsrepresentativetobeelectedasthechairoftheCCCcouncil.
7发起单位的退出.
发起单位如果不想继续充当发起单位(下称"退出者"),可以随时向CCC理事会提出书面通知.
从退出者的书面通知被CCC理事会收到并备案之日起,退出者就不再作为CCC的发起单位,不必再履行本章程规定的责任,也不再享受本章程规定的权利,并自动放弃对CCC全资新创建的数据库的知识产权(IPR)的拥有权;对于退出者按本章程的约定委托CCC签订的已生效的协议(通过CCC销售、免费发放或购买数据库时的协议),退出者允诺在自己退出CCC后,这些协议将自动转为退出者与协议中CCC之外其他方的协议;承诺其所贡献的数据库可以在CCC内继续销售.
TerminationofCCCCo-Foundership.
ToterminateitsCo-Foundership,aCo-FoundermayinformtheCCCcouncilinwritingatanytimeaboutitsintentiontowithdraw.
FromthedateonwhichtheCCCcouncilreceivesandrecordssuchawrittennotificationfromtheCo-Founder(henceforthreferredtoastheTerminatingCo-Founder),theTerminatingCo-FounderwillnolongerbeconsideredaCo-Founder.
Assuch,theynolongerneedtodischargeoftheCo-FoundershipobligationsandnolongerowntheCo-Foundershiprights.
Furthermore,theywillautomaticallyrelinquishallintellectualpropertyrights(IPR)ofthosecorporacreatedandfullyfundedbyCCC.
ForthoseagreementssignedbyCCCcoveringanycorporacontributedbytheTerminatingCo-Founderaccordingtothetermsofthisconstitutionwhicharealreadyeffective5(includingagreementsofselling,distributing,andbuyingcorporaviaCCC),theTerminatingCo-Founderagreesthatfromitsterminationdateforward,theseagreementswillautomaticallybeamendedtoincludetheTerminatingCo-Founderandtheotherparty(-ies)otherthantheCCC.
TheTerminatingCo-FounderfurtheragreesthatanycorpusitcontributestoCCCcancontinuetobesoldbytheCCCaftertheTerminatingCo-Founder'stermination.
第三章会员及权利责任ChapterIII.
MembersandTheirRightsandObligations8CCC采取会员制的组织形式.
会员分为普通会员和高级会员两类.
TheCCCisamembership-basedorganization,andtwotypesofmembershipsarecreated:ordinarymembersandseniormembers.
9普通会员入会的程序为:-Proceduretobecomeanordinarymember:-9.
1向理事会提出书面申请;SubmitanapplicationinwritingtotheCCCcouncil;9.
2联盟理事会形成决议同意其成为会员.

1符合以下条件的机构或公司可以向CCC理事会提出申请成为高级会员:-AnyCompanyorInstitutecansubmitaseniormembershipapplicationtotheCCCcouncilif:-12.

1贡献一个与联盟宗旨有关的、并被CCC理事会认可的数据库,并且ItcontributestotheCCCacorpusthatiscertifiedbytheCCCcouncil,and12.

2已经连续三年为普通会员,或本年度所交纳的会费是高级会员会费标准的两倍.

1会员资格的期限为每年度1月1日至12月31日,第二年如不交纳会员费则视为自动退会.
ThemembershipyearrunsfromJanuary1toDecember31.
Membershipwillbeautomaticallyterminatedifamemberfailstopayitsmembershipfeesforthecurrentyear.

2高级会员退会必须书面通知CCC理事会,并承诺其贡献的数据库可以继续在CCC内进行销售.
AseniormembershouldnotifytheCCCcouncilinwritingtoterminateitsmembership,anditshouldagreethatallcorporaithascontributedtoCCCcancontinuetobesoldbytheCCC.
第四章组织机构ChapterIV.
Organization16总部:设在中国北京.
CCC依托于北京市新技术产业开发试验区高新技术企业协会中文语言资源分会,接受北京市人民政府科学技术委员会、北京市社会团体管理办公室的监督、检查和管理,在业务上受北京市新技术产业开发试验区高新技术企业协会的指导,共同推动中文语言资源的标准化和产业化.
CCC挂靠北京得意音通技术有限责任公司.
北京得意音通技术有限责任公司负责CCC创建初期的日常费用.
Headquarters:HeadquarteredinBeijing,China,theCCCissupportedbytheChineseLanguageResourcesbranchoftheHigh-techEnterprisesAssociationoftheBeijingExperimentalZonefortheDevelopmentofNewTechnologyIndustries,andacceptsthesupervision,inspectionandmanagementoftheBeijingMunicipalCommissionofScienceandTechnologyandBeijingSocialOrganizationManagingOffice.
UndertheguidanceoftheHigh-techEnterprisesAssociationoftheBeijingExperimentalZonefortheDevelopmentofNewTechnologyIndustries,itwillworkforthemutualpromotionof8thestandardizationandindustrializationofChineselanguageresources.
TheCCCisadministeredbyBeijingd-EarTechnologiesCo.

,whichwillcoverdailyexpensesduringthecreationperiodoftheCCC.
17理事会:每个发起单位分别指派一人代表本单位作为理事组成理事会.
理事会是CCC的权利机构,负责制定、修改和解释相关规章制度;讨论、形成和公布重大决议;制定内部管理制度;选举和罢免理事长.
CCCCouncil:TheCCCcounciliscomprisedofCo-Founderappointedcouncilmembers,whereeachCo-Founderhastherighttoappointonerepresentativetoactasitscouncilmember.
ThecouncilisthefinalauthorityoftheCCC,andisresponsibleformaking,revisingandexplainingtherelevantregulationsandbylaws;makinginternalmanagementregulations;andelectinganddismissingthechairofthecouncil.
18理事长:召集和主持理事会;代表CCC签署有关文件.
CouncilChair:TheChairisresponsibleforcallingandchairingallcouncilmeetings,aswellassigningdocumentsonbehalfoftheCCC.
19常务秘书:协助理事长开展日常工作.
财务秘书:在理事会的授权下,在理事长的领导下,管理CCC的所有财务收入及支出.
StandingSecretary:theStandingSecretaryisresponsibleforhelpingtheCCCChairwiththecompletionofCCC-relateddailytasks.
Treasurer:UndertheauthorityoftheCouncilandtheleadershipoftheChair,theTreasurermanagestheincomeandexpendituresoftheCCC.
20理事长、常务秘书和财务秘书每届任期三年.
理事长由理事会选举产生,常务秘书和财务秘书由理事长指派并经理事会通过.
ThetermofeachChair,StandingSecretaryandTreasureristhreeyears.
TheCouncilChairiselectedbythecouncil,andtheStandingSecretaryandTreasurerareappointedbytheCouncilChairwiththeagreementoftheCouncil.
21理事会议每年召开一次;另外,经半数以上的理事提议,也可以召开理事会议.
Afullcouncilmeetingwillbeheldonceayear.
Additionalcouncilmeetingscanbeconvenedbyamajorityvoteofthecouncilmembers.
第五章数据库管理ChapterV.
CorporaManagement22CCC数据库分为以下四类:(1)非商业研究用途免费共享;(2)商业用途免费共享;9(3)非商业研究用途收费;(4)商业用途收费.
TherearefourtypesofCCCcorpora:(1)freecorporafornon-commercialresearchpurposes(FCRP);(2)freecorporaforcommercialpurposes(FCCP);(3)paidcorporafornon-commercialresearchpurposes(PCRP);and(4)paidcorporaforcommercialpurposes(PCCP).

3CCC并不限制已递交的数据库在其它联盟和/或公司中销售、发布,或免费使用.

26数据库销售价格由数据库拥有者自定或与理事会商议.
ThepriceofacorpusistobesolelydeterminedbyitsownerorjointlydeterminedbytheownerandtheCCCcouncil.
27数据库代理销售的优惠折扣价格.
对于定价的代理销售数据库,CCC同意进行代理的前提条件是发起单位、高级会员和普通会员可以按二中的"购买CCC代理销售数据库的折扣"购买其数据库.

1CCC日常运作和维护费用.
ThedailyoperationoftheCCC.

2CCC举办语音和语言数据库相关的会议、活动等.
ConferencesandotheractivitiesonspeechandlanguagecorporahostedbytheCCC.

3CCC创建新的数据库.
CreatingnewcorporafortheCCC.
31CCC建立严格和独立的财务管理制度,保证会计资料合法、真实、准确、完整.
所有CCC的经费将存入以CCC名义开立的独立银行帐户,提存款项必须由理事长、常务秘书和财务秘书三方签署作实.
TheCCCwillestablishastrictandindependentfinancialmanagementsystem,andensurethattheaccountingdocumentsarelegal,true,accurateandcomplete.
AllCCCfundswillbedepositedintoanindependentCCCbankaccount.
AnywithdrawalsfromthisaccountmustreceivewrittenauthorizationfromtheChair,StandingSecretary,andTreasurer.
32CCC的财务报表每年一次,于每年1月31日前把上年度的财务报表上报理事会和各发起单位.
Financialreportswillbeproducedonayearlybasis.
TheannualreportwillbedistributedtoeachCo-FounderbyJanuary31ofthefollowingyearandreportedtotheCouncil.
第七章附则ChapterVII.
Miscellaneous1233本章程由所有发起单位共同制定,各发起单位均须由授权代表签章,承诺按本章程规定履行责任和享受权利.
ThisconstitutionisdraftedandrevisedbyalltheCCCCo-Founders.
EachCo-Foundershouldhaveitsauthorizedrepresentativesignandsealtheconstitution,andcommittoadheretotheobligationsandrightsstatedinthisconstitution.
34本章程自全部发起单位签章完成的日期起开始生效.
ThisconstitutionismadeanddistributedtoalltheCo-FoundersandwilltakeeffectwhenallCo-Foundershavesignedandsealedit.
35除非由各未退出的发起单位共同书面认可解散CCC,本章程一直有效.
Thisconstitutionwillstayeffectiveunlessallthenon-terminatedCo-Foundersagreeinwritingtodismisstheconsortium.
36本章程的解释权归理事会所有.
ThecouncilreservestherighttoexplaintheTermsandConditionsofthisconstitution.
37本章程受中华人民共和国法律约束和保护.
Theconstruction,validityandperformanceofthisconstitutionshallbegovernedandconstructedinaccordancewiththeLawsofthePeople'sRepublicofChina.
38本章程的每位发起单位各执一份,并留一份备案,各份具有相同的法律效力.
EachCo-Founderwillkeepacopyofthisconstitution,andanextracopywillbekeptforbackup.
Eachcopyofthisconstitutionhasthesameforceandeffect.
39本章程有中文和英文两个版本,当两个版本发生歧义时,以中文文本为主.
ThisconstitutioniswritteninChineseandEnglish.
TheChineseversionoftheseTermsandConditionsshallprevailwheneverthereisadisagreementbetweenthetwoversions.
