OrangeisonlyabletouploaddatatotheCloudtotheextentthatitisheldontheportableharddrivesreceivedfromtheCustomerandtherelevantfilesand/ortheharddrivesarefunctioningproperlyandarenotcorrupt(includingbeingfreefromanyviruses).
TheCustomerisresponsibleforensuringthatalldataheldonitsportableharddrivesaresuitablybacked-uppriortosendingtheharddrivestoOrange.
AfterOrangehascompletedthetransfertheCustomer'sdatatotheCloud,OrangeshallreturntheharddrivetoCustomerunderIncotermDAPCustomerpremises(Incoterm2010).
Customerwillbeliableforcustomsclearanceandpayingimportdutiesandtaxesatthereturndestination.
IftheCustomerbecomesawareofanyIncidentregardingtheImportServices,itshallnotifyOrangeimmediatelyand,inanycase,within3workingdaysofreceiptofitsharddrivefromOrange.
OrangeshallinvestigatetheIncident,andifitdetermines(ingoodfaith)thatthereportedissueorproblemwascausedbysolelybyOrange,OrangewillendeavortorectifytheIncidentwithoutcosttotheCustomer.
However,ifitisdeterminedthattheCustomeris,inpartorwhole,responsibleforthereportedissueorproblem,CustomershallberequiredtopayOrange'sreasonableadditionalfeesandcostsforrectifyingtheIncident(inproportiontotheextentoftheCustomer'sfault)and,ifapplicable,resendtheportableharddrivestoOrange'sdatacenterunderIncotermDAPValdeRueil,France.

3Customer'sResponsibilitiesandLiabilitiesInadditiontotheCustomer'sobligationssetoutelsewhereintheAgreement,theCustomershallfulfiltheobligationssetoutintheClausesbelow.

1LocalAppliancesTheCustomer'sresponsibilitiesinrespectoftheshipment,installation,andmaintenanceoftheLocalAppliances,asprovidedbyOrangeundertheHybridStorageandHybridoption,aresetoutbelow.
TheCustomershall:InstalltheLocalAppliancesafterreceivingit;AsfromreceiptofdeliveryoftheLocalAppliancesbytheCustomer(and/orthirdpartiesusingsuchLocalAppliance,ifapplicable)untilitsreturntotheOrangepremises,assumealltherisksrelatedtotheLocalAppliances;BesolelyresponsibleforanydamagecausedbytheLocalAppliancestoanystafforthirdparties,unlesstheCustomercanproveinamannersatisfactorytoOrangethatthesaiddamagewascausedexclusivelybyamanufacturingfault,oradefectorafaultoriginatingfrominstallationoftheLocalAppliancebyOrange(whereapplicable);IndemnifyOrangeforthecostofrepairorreplacementoftheLocalAppliancesintheeventtheCustomer(and/oranythirdpartyusingtheLocalAppliance)damagesit/them.
NorightofownershipoveranyoftheLocalAppliancesshallbetransferredtotheCustomer.
TheCustomerwillrefrainfromcommittingorallowinganyactionwhatsoeverthatbreachestheownershiprightsofOrangeinrespectoftheLocalAppliancesandwillinformOrangeofanyinfringementofsuchrightsimmediatelyuponbecomingawareofthesame.

IntheeventthattheCustomerissubjecttoadministration,receivership,liquidation,orsimilarproceedings("InsolvencyProceedings"),CustomerwillimmediatelynotifyOrangeandensurethattheOrangeownershipoftheLocalAppliancesisrecognizedinsuchInsolvencyProceedings,therebyensuringthattheLocalAppliancesarenotsubjecttoseizure.
TheCustomershallnotsell,sublet,transferorgiveforusewholeorpartoftheLocalAppliancestothirdparties,whetherinreturnforpaymentorfree-of-charge,withoutpriorwrittenconsentbyOrange.
TheCustomer,initscapacityasguardian,isandremainsresponsibleforalldamagecausedbyandtotheLocalAppliancesandotheraccessoriessuppliedbyOrange.
Consequently,theCustomerundertakestotakepropercareoftheLocalAppliancesandtouseitonlyforthereceiptoftheServices.

2LossorTheftofLocalAppliancesIntheeventoflossand/ortheftofaLocalAppliance,theCustomermustnotifyOrangeinwritingimmediatelyanddeclareanylossorthefttothepoliceorconsularauthorities.
TheCustomermayorderanewLocalAppliancepursuanttothetermsoftheAgreement,subjecttopaymentofthecostofthereplacementLocalAppliance,asnotifiedbyOrangetoCustomerinwriting.
DuringtheperiodbetweenthedatewhenOrangehasbeennotifiedofaloss/theftandthedateofreceiptbyCustomerofthereplacementLocalAppliance,theCustomerwillremainliabletopaytheChargesinaccordancewiththeChargesSchedule.

3BreakageandMalfunctionoftheLocalApplianceIftheCustomerobservesafault,damage,malfunction,orbreakageinaLocalAppliance("LocalApplianceFault"),theCustomermustcalltheCustomerSupportCentretonotifyitoftheLocalApplianceFaultandarrangeforareplacementLocalAppliancetobedelivered.
IftheLocalApplianceFaultiswhollyattributabletoOrange,OrangewillsendtheCustomerareplacementLocalAppliancetogetherwithaprepaidcouponindicatingthereturnaddresssothattheCustomercanreturnthedamagedLocalAppliancetoOrangefree-of-charge.
IntheeventthatanyLocalApplianceFaultiscausedbytheCustomeroranyofitscontractors,theCustomershallberesponsibleforpayingallpostageandpackagingfees(a)forreturningthedamagedLocalAppliancetoOrange,and(b)incurredbyOrangeforsendingareplacementLocalAppliancetotheCustomer,suchpostageandpackagingfeeswillbeaddedtotheOrangeinvoiceinthenextrelevantbillingcycle.
DuringtheperiodbetweenthedatewhenOrangehasbeennotifiedoftheLocalApplianceFaultandthedateofreceiptbytheCustomerofthereplacementLocalAppliance,theCustomershallremainliabletopaytheServicechargesandfeesinaccordancewiththeChargesSchedule.

4ReturnoftheLocalApplianceFollowingTerminationUponterminationoftheAgreementforanyreason,theCustomershallreturnallLocalAppliancestoOrangewithin30daysofthedateoftermination.

IftheCustomerfailstoreturntheLocalApplianceswithinthesaidtimeframe,itwillbeliabletopayOrangeasumequivalenttothecostofeachLocalAppliance,asnotifiedandinvoicedbyOrangetoCustomer.
ItisCustomer'sresponsibilitytorecoverand/ordestroyanydatastoredontheLocalAppliancesandremoveanyportableharddrivesfromtheLocalAppliancesbeforereturningtheLocalAppliancestoOrange.

5OtherResponsibilitiesBandwidthPerformance:TheCustomeragreesthat,atalltimes,itsInternetserviceproviderwillberesponsiblefortheBandwidthperformanceprovidedtotheCustomer.
However,OrangereservestherighttoimplementsoftwaretoolsontheLocalAppliance,theadministrationportalorsuchotherequipmentrequiredfortheprovisionoftheServices,asnecessaryforthepurposesofobservingBandwidthperformanceanditslimitations.
TheCustomerisprohibitedfromanalyzing,viewing,ormodifyingtheconfigurationoftheOrangeHostingPlatformandServicePlatformaswellasitsstructureandthefilescomprisingit.
TheCustomerundertakestoactivelyco-operatewithOrangetokeeptheLocalAppliancesanditsInfrastructureingoodworkingorder.
TheCustomeragreestoperformanyoperationsrecommendedbyOrangeassoonaspossible,includingre-installationand/orreconfigurationorupdatingoftheFlexibleStorageService.

4OrangeResponsibilitiesOrangewillendeavortomakeitsHostingPlatformandServicePlatformaccessibletotheCustomer24hoursaday,7daysaweek,eachdayoftheyear.
OrangereservestherighttointerruptaccesstotheHostingPlatformandServicePlatformtoperformtechnicalmaintenanceand/orimprovementworksinordertoensurethattheServicefunctionsinaccordancewiththetermsoftheAgreement,subjecttoOrangeprovidingreasonableadvancednoticetotheCustomerpriortocarryingoutsuchworks.
Orangewillaimtoperformmaintenance/improvementworksatnon-peaktimesofCustomer'suseoftheService,exceptwhereurgentmaintenanceisrequired(forinstance,wheretheHostingPlatformorServicePlatformisunexpectedlymalfunctioningresultinginadverseimpacttotheuseoftheServicesbytheCustomerand/ortheOrangeothercustomers),inwhichcaseOrangereservestherighttocarryoutsuchmaintenance/improvementworksatanytime.
ThepartiesagreethatanyserviceinterruptionsarisingfromsuchmaintenanceorimprovementsworksshallnotentitletheCustomertoanyformofcompensationfromOrange.

5TechnicalRestrictionsTheCustomerguaranteesthatitwilltakealltechnicalprecautionsrequiredtoensurecompatibilityofitswebsiteand/orapplicationswiththeOrangeHostingPlatformandtheServicePlatform.
TheCustomeracknowledgesthattheOrangeHostingPlatformsandServicePlatformsaresharedamongstitsvariouscustomers.
InordertoensurethatOrangeisabletoprovidesuchlevelofServiceanticipatedbyittoallitscustomers,theCustomershallcomplywith(a)theOrange"ServiceGuide"(asprovidedtotheCustomerbyOrange)and(b)ifapplicable,suchotherreasonabletermsexpresslynotifiedbyOrangetotheCustomer.
Inaddition,theCustomeragreesthatitwillnotcreateanunreasonableorexceptionalloadonOrangeServerssoastocausethemtomalfunction,fail,orfunctionatacapacityslowerthanreasonablyexpectedbyOrangetoprovideitsservicestotheCustomeranditsothercustomers.
